Joint Steering Committee. [***] following the Effective Date [***], a joint steering committee (the “JSC”) will be established by the Parties to provide oversight and to facilitate information sharing between the Parties with respect to the activities under this Agreement.
Joint Steering Committee. The Parties hereby establish a joint steering committee (the “JSC”) to facilitate the Collaboration as follows:
Joint Steering Committee. Within thirty (30) days after the Effective Date, the Parties shall establish a committee (“Joint Steering Committee” or “JSC”) to coordinate and oversee the Parties exchange of information and materials pursuant and subject to the terms of this Agreement.
Joint Steering Committee. Promptly after the Effective Date, the Parties shall form a Joint Steering Committee comprised of three (3) representatives of each of TOTAL and AMYRIS. The Parties shall alternate selecting the chairperson of the JSC on an annual basis with TOTAL selecting the first chairperson. The JSC shall meet no less frequently than once every three (3) months or as otherwise needed, as reasonably determined by the Parties, during the Term of this Agreement. Such meetings shall be conducted in person or, if otherwise agreed by the Parties, by videoconference and teleconference. The JSC shall agree upon the time and location of the meetings. A reasonable number of additional representatives of a Party may attend meetings of the JSC in a non-voting capacity, subject to the confidentiality provisions of Article 9. Each Party shall pay its own expenses related to participation in the JSC. The JSC shall remain in effect until the expiration of the Term (or for such longer period upon which the Parties agree in writing). All decisions of the JSC shall be made by a vote of any four (4) members of the JSC, with each member having one (1) vote, except as otherwise expressly provided elsewhere in this Agreement. A quorum of the JSC shall consist of four (4) or more members. Any disputes related to the governance of the JSC shall be resolved under the dispute resolution provisions of Article 12. The chairperson of the JSC shall be responsible for scheduling the quarterly meetings on no less than forty-five (45) business days’ notice (which notice may be given via electronic email) and calling non-scheduled meetings, as necessary and agreed to by the Parties, on no less than ten (10) business days’ notice (which notice may be given via electronic email). The chairperson shall record the minutes of the meeting and such minutes shall be circulated to the members of the JSC within two (2) business days following the meeting for review and comment. Thereafter, at the next meeting of the JSC, such minutes shall be considered for approval. All notices to be provided by a Party to the JSC shall be sent to the chairman of the JSC. All notices received by the chairman of the JSC shall be distributed to the other members of the JSC. Each Party shall pay its own expenses related to participation in the JSC. Joint Steering Committee. Within thirty (30) days of the Effective Date, the Parties shall establish a joint steering committee (the “JSC”) that will be responsible for overseeing the Development and Commercialization of Collaboration Products in the Field, and will serve as a forum for (a) exchanging data, information and Development strategy regarding the Collaboration Products and (b) keeping Xxxxxxxxx apprised of all Commercialization activities with respect to the Collaboration Products.
Joint Steering Committee. Within three (3) weeks after the execution of this Agreement, the parties shall form a joint steering committee (the “JSC”) comprised of four individuals designated as set forth below, which JSC shall be responsible for the general oversight of the research carried out hereunder, including without limitation: (i) reviewing the goals, strategy, Milestone Events (as defined in Exhibit B), and results of the Work Plan (set forth in Exhibit A) and the activities performed thereunder; (ii) recommending and approving changes to the Work Plan; (iii) assigning relative priorities in the Work Plan; (iv) terminating any specific activities under the Work Plan; (v) determining whether a Milestone Event has occurred; and (vi) resolving any disagreements between the parties concerning the research and development activities carried out under this Agreement. Each party shall designate two (2) individual representatives as members of the JSC, each of whom shall be authorized to make decisions on behalf of the designating party (subject to the terms and conditions of this Section 2.c.) and shall have significant experience and expertise in the research and development of pharmaceutical compounds. Each party shall CERTAIN CONFIDENTIAL INFORMATION CONTAINED IN THIS DOCUMENT, MARKED BY [***], HAS BEEN OMITTED BECAUSE IT IS NOT MATERIAL AND WOULD LIKELY CAUSE COMPETITIVE HARM TO THE COMPANY IF PUBLICLY DISCLOSED. have the right, at any time, to designate by written notice to the other Party, a replacement for any of such party’s representatives on the JSC. The JSC shall endeavor to work by consensus. Decisions of the JSC shall be made by unanimous written consent and shall be included in amendments to the Work Plan, if applicable. Where unanimity cannot be achieved in respect of any matter following good faith, commercially reasonable efforts on the part of the members of the JSC, such disputed matter shall be referred to the relevant senior management of the parties who shall promptly meet and endeavor to come to an agreement in a timely manner. The JSC will determine, subject to the terms and conditions of this Section 2.c., whether any Milestone Event has occurred. The JSC will notify the relevant senior management of each party in writing that any such Milestone Event has occurred no later than [***] after such a determination.
Joint Steering Committee. The Parties shall establish a Joint Steering Committee or “JSC”, which shall be comprised of six (6) members, with three (3) representatives designated by each Party. Members of the JSC may be represented at any meeting by a designee appointed by such member for such meeting. Each Party shall be free to change its representative members on notice to the other Party. One of each Party’s representatives on the JSC shall be designated by such Party a “Collaboration Coordinator”.

The JSC shall have review, oversight and decision-making responsibilities as more specifically provided herein. Each Party agrees to keep the JSC informed of its progress and activities under the Collaboration. The JSC may establish Subcommittees as set forth in Section 4.1.6.
