Joint Collaboration Committee. The parties agree to continue their active support and commitment to the Joint Collaboration Committee (JCC). Utilizing the collaboration process, the Committee will continue to meet regularly to address issues and interests brought by the parties. The Committee will be composed of a minimum of eight members, four appointed by the Association and four appointed by the superintendent, including the chief operating officer. The Committee will be co-chaired by the chief operating officer and the presi- dent of the Association. The JCC will provide for regular, on-going discussions and decision-making on matters germane to union-management relations and, when appropriate, to the continuous improvement of instruction and school system operations. The parties are committed to ensuring that this is an effective, collabo- rative process to address interests and concerns and resolve problems. The overall charge to the JCC shall include but not be limited to the following: • Interpreting and administering the implementation of the negotiated Agreement • Discussing any matters of interest or concern • Reaching tentative agreements on issues in a timely manner • Providing oversight and final decision-making authority for the A&S PGS • Reviewing and assessing the effectiveness of collaboration between MCPS and MCAAP/MCBOA • Reviewing annually the guidelines for the professional learning communities. When appropriate, the JCC will make written recommendations to the superintendent and the Board of Directors of the Association on issues brought forward for consideration on which they have reached a consensus for resolution that supports continuous improvement within the school system. The JCC will have the following authorities: • To establish temporary committees and work groups to address specific issues. Such groups will report back to the JCC. The JCC shall be authorized to consolidate, reconfigure the membership of, modify the charge and tasks of, and discontinue joint committees or work groups. Joint Collaboration Committee. (a) The Parties will establish a joint steering committee (the “Joint Collaboration Committee” or “JCC”) to oversee the Parties’ activities under this Agreement. Within [*], Portola shall appoint two (2) representatives to the JCC, and each of BMS and Pfizer shall appoint one (1) representative to the JCC and notify the other Parties of the dates of availability for the first meeting of the JCC. The JCC may change its size from time to time by mutual consent of its members and each Party may replace its representatives at any time upon written notice to the other Parties. Each Party’s JCC representatives shall include an officer or employee of such Party with sufficient seniority to make decisions arising within the JCC’s responsibilities.

The JCC’s responsibilities may include: (1) establishing subcommittees to confer on the initiatives; (2) reviewing, expanding initiatives where appropriate and resolving issues related to ongoing initiatives; and

For purposes of describing the general scope of the collaboration only, and subject to the obligations set forth more specifically in other sections of this Agreement, the Parties contemplate that Zosano would be responsible for management and funding of further Development activities and regulatory activities necessary to support registration of the Licensed Products in accordance with the Development Plan and, in the event Zosano achieves the Critical Success Factors, Lilly shall make the applicable milestone payments and thereafter be solely responsible for the conduct and funding of all Commercialization activities. Accordingly, the purpose of the JCC is to facilitate periodic communication between the Parties regarding their activities under this Agreement. The JCC will not serve as an alliance decision making body, nor will it have the power to amend or waive compliance with, or the terms of, this Agreement or determine whether a Party has committed a breach of this Agreement.
