IPR and Promotional Materials. 2.1 Client hereby grants Global and the Operating Company(ies) and Global and Operating Company(ies) accept(s) a non-exclusive, non- assignable (save as per clause 10.4 below) royalty free licence to use the Client Xxxx(s) for all purposes relating to delivering the Festival Rights and Campaign to Client, subject to Global and Operating Company(ies) complying with any guidelines relating to the use of Client Mark(s) as provided to Global by Client prior to the Effective Date. Client shall at its own expense supply to Operating Company and/or Global the finished artwork of Client Xxxx(s) within a reasonable time from the Effective Date and in a suitable form to enable the Client Mark(s) to be used by and reproduced by Global or Operating Company(ies) in order for Global to provide the Festival Rights to Client and to comply with its obligations hereunder in relation to the Campaign.

Client shall at its own expense supply to Global the finished artwork of Client Xxxx(s) within a reasonable time from the Effective Date and in a suitable form to enable the Client Xxxx(s) to be used by and reproduced by Global in order for Global to provide the Event Rights to Client and to comply with its obligations hereunder in relation to the Campaign.

  • Promotional Materials In the event that the Fund or the Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Adviser will install and maintain, or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Promotional Material In the event that the Fund or the Investment Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Investment Adviser will install and maintain or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Instructional Materials A. The Board recognizes that appropriate texts, library reference facilities, maps and globes, laboratory equipment, audio-visual equipment, art supplies, athletic equipment, current periodicals, standard tests and questionnaires, computers, and similar materials are the tools of the teaching profession.

  • Marketing Materials (a) During the term of this Agreement, the Sub-Adviser agrees to furnish the Manager at its principal office for prior review and approval by the Manager all written and/or printed materials, including but not limited to, PowerPointÒ or slide presentations, news releases, advertisements, brochures, fact sheets and other promotional, informational or marketing materials (the “Marketing Materials”) for internal use or public dissemination, that are produced or are for use or reference by the Sub-Adviser, its affiliates or other designees, broker-dealers or the public in connection with the Series, and Sub-Adviser shall not use any such materials if the Manager reasonably objects in writing within five business days (or such other period as may be mutually agreed) after receipt thereof. Marketing Materials may be furnished to the Manager by first class or overnight mail, facsimile transmission equipment, electronic delivery or hand delivery.

  • Licensed Materials The materials that are the subject of this Agreement are set forth in Appendix A ("Licensed Materials").

  • Product Labeling The labeling of all Licensed Products sold or offered for sale under this Agreement shall expressly state that the Licensed Product is manufactured under a license from the Medicines Patent Pool.

  • COPYRIGHTED MATERIALS Dental Group hereby grants Manager the right to --------------------- use any and all copyrighted materials authored or owned by Dental Group including, specifically, the Dental Group dental management system software programs (the "Programs"). This license includes the right to sublicense the Programs and the right to prepare and own derivative works based on the Programs, all without a duty of accounting to Dental Group. Dental Group shall execute all documents required to enable Manager to own, use and exploit all such rights.

  • Training Materials Training Materials will be provided for each student. Training Materials may be used only for either (i) the individual student’s reference during Boeing provided training and for review thereafter or (ii) Customer’s provision of training to individuals directly employed by the Customer.

  • Course Materials The adoption of any course materials, print or electronic, after a Course Agreement is signed will require an agreed and signed addendum.

  • Advertising Materials 1. Open Ecosystem Partner may add its own material to the information supplied by either indirectly by Distributor or directly by SAP, solely for the purposes of Open Ecosystem Partner's own marketing activities. Any material which is added must be clearly marked as Open Ecosystem Partner's material.
