Investments in Joint Ventures. The Borrowers will not, and will not permit any Subsidiary to, make any Investment in any Joint Venture (other than Investments listed on Schedule V hereto (“Existing Investments”)) on any date if, immediately after giving effect to such Investment, the aggregate amount of all such Investments made by OSG and its Subsidiaries after December 31, 2010 would exceed 30% of Total Assets based on the most recent consolidated balance sheet of OSG (it being understand that at the time any Subsidiary ceases to be a Subsidiary, any remaining Investment in such Person held by the Borrowers and its Subsidiaries will be deemed an Investment in a Joint Venture in an amount equal to the Book Value of such remaining Investment).
