Except as described on the attached Schedule 3.5, the business of the Company is and has been conducted solely by and through Company and no other person, and Company does not directly or indirectly own, control or have any investment or other interest in any corporation, partnership, joint venture, business trust or other entity and Company has not agreed, contingently or otherwise, to share any profit, loss, cost or liability, or to indemnify any person or entity or to guaranty the obligations of any person or entity.
