Investment Exception. Notwithstanding the foregoing, nothing contained in this SECTION 4 shall be construed to prevent Executive from investing in the stock of any competing corporation listed on a national securities exchange or traded in the over-the-counter market, but only if Executive is not involved in the business of said corporation and if Executive and his associates (as such term is defined in Regulation 14(A) promulgated under the Securities Exchange Act of 1934, as in effect on the date hereof), collectively, do not own more than an aggregate of two percent (2%) of the stock of such corporation.
Investment Exception. Section 6(a) will not prohibit Executive from directly or indirectly owning or acquiring any capital stock or similar securities that are listed on a securities exchange or quoted on the NASDAQ and do not represent more than five percent (5%) of the outstanding capital stock of any Financial Institution.
Investment Exception. Nothing in this Agreement shall be deemed to prohibit Executive from owning equity or debt investments in any corporation, partnership or other entity which is competitive with the Company, provided that such investments (i) are passive investments and constitute one percent (1%) or less of the outstanding equity securities of such an entity whose equity securities are traded on a national securities exchange or other public market, or (ii) are approved in advance by the Board.
Investment Exception. Section 6(a) will not prohibit Employee from directly or indirectly owning or acquiring any capital stock or similar securities that are listed on a securities exchange or quoted on the National Association of Securities Dealers Automated Quotation System and do not represent more than 5% of the outstanding capital stock of any Financial Institution.
Investment Exception. Nothing in this Agreement shall be deemed to prohibit Employee from owning (as an investor only) equity or debt investments in any corporation, partnership or other entity which is not competitive with the Company's Business. Any such investments shall not require the Company's prior written consent.
Investment Exception. Notwithstanding anything herein to the contrary, nothing in this Agreement is intended or shall be construed as limiting Harvxx'x xxxht as an investor to hold or to acquire the investment securities of any business entity that is registered on a national securities exchange or admitted to trading privileges thereon or actively traded on a generally recognized over-the-counter market, so long as Harvxx'x xxxerest of any such business entity constitutes less than five percent (5%) of the ownership therein; provided, that Harvxx'x xxxions or holdings do not violate the rules or regulations of the Securities and Exchange Act of 1933 and the Securities and Exchange Commission.
Investment Exception. Notwithstanding anything herein to the contrary, nothing in this Agreement is intended or shall be construed as limiting Pace's right as an investor to hold or to acquire the investment securities of any business entity that is registered on a national securities exchange or admitted to trading privileges thereon or actively traded on a generally recognized over-the-counter market, so long as Pace's interest of any such business entity constitutes less than five percent (5%) of the ownership therein; provided, that, Pace's actions or holdings do not violate the rules or regulations of the Securities and Exchange Act of 1933 and the Securities and Exchange Commission.
Investment Exception. Notwithstanding anything in this Section 7 to the contrary, nothing in this Agreement shall limit the right of Executive as a passive investor to hold and make investments not in excess of five percent (5%) of the outstanding securities of any corporation, the securities of which are listed on a nationally recognized securities exchange or traded in a nationally recognized over-the-counter market.
Investment Exception. Section 6(a) will not prohibit Paul from directly or indirectly owning or acquiring any capitax xxock or similar securities that are listed on a securities exchange or quoted on the NASDAQ and do not represent more than five percent (5%) of the outstanding capital stock of any Financial Institution.
Investment Exception. Section 5(a) will not prohibit Bob from directly or indirectly owning or acquiring any capital stock or similar securities that are listed on a securities exchange or quoted on the National Association of Securities Dealers Automated Quotation System and do not represent more than five percent (5%) of the outstanding capital stock of any Financial Institution.
