Investigation or Litigation. Except as set forth on Schedule 3.11, there is no Proceeding pending or, to the Company's and the Shareholder's Best Knowledge, Threatened against, relating to or affecting the Company. The Company is not subject to any currently existing Proceeding by any Governmental Body. There is no basis for the assertion of any Proceeding by any Governmental Body or any Person regarding any violation of federal or state laws.
Investigation or Litigation. Except as disclosed on Schedule 3.12 ------------- hereto, (i) no material investigation or review by any governmental entity with respect to the Company, including without limitation, investigations or reviews relating to hazardous substances, pollution or the environment, discrimination in employment, trade practices, and competition in pricing is pending or, to the best of the Company's knowledge, threatened, nor has any governmental entity indicated in writing to the Company an intention to conduct any such investigation or review, and (ii) there is no action, suit or proceeding pending, or, to the best of the Company's knowledge, threatened against the Company at law or in equity, or before any federal, state, municipal or other court or authority of competent jurisdiction.

Except as set forth on Schedule 4(m), there is no investigation or review pending or to the best knowledge of Seller threatened by the Nevada Gaming Authorities or any other Governmental Agency or other party or person with respect to Seller; nor have the Nevada Gaming Authorities or any other Governmental Agency or other party or person indicated in writing to Seller an intention to conduct any such investigation or review; nor, to the knowledge of Seller, is there any valid basis for any such investigation or review. Except as set forth on Schedule 4(m), there is no claim, action, suit or proceeding pending before or, to the best knowledge of Seller, threatened against or affecting Seller at law or in equity by, the Nevada Gaming Authorities or any other Governmental Agency or other party or person, nor is there, to the best knowledge of Seller, any valid basis for any such claim, action, suit or proceeding.
Investigation or Litigation. There is no Proceeding pending or Threatened against, relating to or affecting the Seller, the Owner, the Assets or the Business. Neither Seller, Owner, the Business nor the Assets is subject to any currently existing Proceeding by any Governmental Body or other Person that would affect, or create a lien on, the Assets being purchased. To Seller's and Owner's knowledge, there is no reasonable basis for the assertion of any Proceeding by any Governmental Body or any Person regarding any violation of any Environmental Law or any other Applicable Law.
Investigation or Litigation receipt of any notice of any governmental investigation or any litigation or proceeding commenced or threatened against any Loan Party that (i) seeks damages in excess of $25,000,000, (ii) seeks injunctive or similar relief, the economic impact on the Loan Parties of which could reasonably be expected to exceed $25,000,000, (iii) is asserted or instituted against any Plan, its fiduciaries or its assets, that could reasonably be expected to result in costs and other losses to the Company and the Restricted Subsidiaries in excess of $25,000,000, (iv) alleges criminal misconduct by any Loan Party, (v) alleges the violation of, or seeks remedies in connection with, any Environmental Laws or Environmental Liabilities, that could reasonably be expected to result in costs and other losses to the Company and the Restricted Subsidiaries in excess of $25,000,000, (vi) contests any Tax, fee, assessment, or other governmental charge in excess of $25,000,000 or (vii) involves any product recall;

Sellers are not subject to any currently existing Proceeding by any Governmental Body. To the Knowledge of the Sellers, there is no basis for the assertion of any Proceeding by any Governmental Body or any Person regarding any violation of federal or state laws.

Except as set forth on Schedule 3.6 --------------------------- ------------ hereto, there is no Proceeding pending or, to Seller's Knowledge, Threatened against, relating to or affecting the Assets. Seller is not subject to any currently existing Proceeding by any Governmental Body relating to or affecting the Assets. To Seller's Knowledge, there is no basis for the assertion of any Proceeding by any Governmental Body or any Person regarding any violation of federal or state laws.

Except for the investigation with respect to the check cashing and bad check collection practices of the Gilpxx, xxd as set forth on Schedule 5(m), there is no investigation or review pending or to the best knowledge of Seller threatened by any Governmental Agency or other party or person with respect to Seller, the Gilpxx xx the Joint Venture; nor has any Governmental Agency or other party or person indicated in writing to Seller an intention to conduct any such investigation or review; nor, to the knowledge of Seller, is there any valid basis for any such investigation or review. Except as set forth on Schedule 5(m), there is no claim, action, suit or proceeding pending before or, to the best knowledge of Seller, threatened against or affecting Seller, the Gilpxx xx the Joint Venture at law or in equity by, any

None of the Seller, any Shareholder, the Business or the Assets is subject to any currently existing Proceeding by any Governmental Body or other Person. To the Seller's and the Shareholders' knowledge, there is no basis for the assertion of any Proceeding by any Governmental Body or any Person regarding any violation of any Environmental Law or any other Applicable Law that would have a Material Adverse Effect on the operations of the Business.
