Common use of Investigation by Buyer Clause in Contracts

Investigation by Buyer. Seller will provide, and will cause the Company to provide Buyer and its counsel, accountants, actuaries, and other representatives with reasonable access, upon prior notice and during normal business hours, to all facilities, officers, employees, agents, accountants, actuaries, Assets and Properties, and Books and Records of the Company and will furnish Buyer and such other Persons during such period with all such information and data (including without limitation, copies of contracts, Benefit Plans, and other Books and Records) in their possession, concerning the Business as Buyer or any of such other Persons reasonably may request.

Seller Sellers will provideprovide Buyer, and will cause the Company to provide Buyer and its counsel, accountants, actuaries, actuaries and other representatives with reasonable access, upon prior notice and during normal business hourshours at Buyer's expense, to all facilities, officersfacilities managers, employees, agents, accountants, actuaries, Assets assets, properties, books and Properties, and Books and Records records of the Company relating to the Business and its assets, and will furnish Buyer and such other Persons persons during such period with all such other information and data (including without limitation, copies of contracts, Benefit Plans, and other Books and Records) in their possession, concerning the Business assets or the Business, operations and affairs of the Company or the transactions contemplated hereby as Buyer or any of such other Persons persons reasonably may request.
