Introduction of Technology. (a) The Company agrees that the Union will be advised in writing a minimum of six (6) months in advance where the introduction of new technology will affect the work normally performed by such Employees. Such change shall not be implemented without prior discussion with the Union. The discussion shall be meaningful and will include a description of the new technology, how it will affect the performance of the work, the employee(s), and whether training or retraining is required with respect to such technology. If training as referenced is required, it will be provided to the affected employees.

Introduction of Technology. As per the last Agreement, all parties shall support the introduction of new technology. This will be supported by training to ensure a smooth transition. This technology includes, but is not limited to the introduction of computers onto the shop floor to record data which has previously been done manually.
Introduction of Technology. If a party identifies technology or compounds independent of the Research Program that it believes might have utility in the Research Program, it may notify the Research Committee and the Research Committee shall discuss and agree upon the nature and scope of incorporation of such technology or compound into the Research Program, including such party’s patent rights with respect to such technology, and designate such technology as Athersys Compounds or Devices or Pfizer Compounds or Devices, as the case may be. If the Research Committee cannot agree on introduction of such technology, the party proposing to introduce the technology can withdraw its proposal and such technology will be excluded from the Research Program.

Introduction of Technology. (a) At any time during this Agreement, the Company may introduce technology which may include cameras or other devices for training purposes and security purposes. The purpose of the introduction of this technology is to have a safer workplace for all involved. Such technology will be utilised in a manner consistent with the Company’s SMS.

  • Technology Discoveries, innovations, Know-How and inventions, whether patentable or not, including computer software, recognized under U.S. law as intellectual creations to which rights of ownership accrue, including, but not limited to, patents, trade secrets, maskworks and copyrights developed under this Agreement.

  • No Unauthorized Use or Disclosure Executive agrees that he will not, at any time during or after Executive’s employment by Company, make any unauthorized disclosure of, and will prevent the removal from Company premises of, Confidential Information or Work Product of Company (or its affiliates), or make any use thereof, except in the carrying out of Executive’s responsibilities during the course of Executive’s employment with Company. Executive shall use commercially reasonable efforts to cause all persons or entities to whom any Confidential Information shall be disclosed by him hereunder to observe the terms and conditions set forth herein as though each such person or entity was bound hereby. Executive shall have no obligation hereunder to keep confidential any Confidential Information if and to the extent disclosure thereof is specifically required by law; provided, however, that in the event disclosure is required by applicable law, Executive shall provide Company with prompt notice of such requirement prior to making any such disclosure, so that Company may seek an appropriate protective order. At the request of Company at any time, Executive agrees to deliver to Company all Confidential Information that he may possess or control. Executive agrees that all Confidential Information of Company (whether now or hereafter existing) conceived, discovered or made by him during the period of Executive’s employment by Company exclusively belongs to Company (and not to Executive), and Executive will promptly disclose such Confidential Information to Company and perform all actions reasonably requested by Company to establish and confirm such exclusive ownership. Affiliates of Company shall be third party beneficiaries of Executive’s obligations under this Article 6. As a result of Executive’s employment by Company, Executive may also from time to time have access to, or knowledge of, Confidential Information or Work Product of third parties, such as customers, suppliers, partners, joint venturers, and the like, of Company and its affiliates. Executive also agrees to preserve and protect the confidentiality of such third party Confidential Information and Work Product to the same extent, and on the same basis, as Company’s Confidential Information and Work Product.

  • Manufacturing Technology Transfer With respect to each Technology Transfer Product, upon AbbVie’s written request after the Inclusion Date for the Included Target to which such Technology Transfer Product is Directed, Morphic shall effect a full transfer to AbbVie or its designee (which designee may be an Affiliate or a Third Party manufacturer) of all Morphic Know-How and Joint Know-How relating to the then-current process for the Manufacture of such Technology Transfer Product (the “Manufacturing Process”) and to implement the Manufacturing Process at facilities designated by AbbVie (such transfer and implementation, as more fully described in this Section 5.3, the “Manufacturing Technology Transfer”). To assist with the Manufacturing Technology Transfer, Morphic will make its personnel reasonably available to AbbVie during normal business hours for up to [***] FTE hours with respect to each Included Target (in each case, free of charge to AbbVie) to transfer and implement the Manufacturing Process under this Section 5.3. Thereafter, if requested by AbbVie, Morphic shall continue to perform such obligations; provided, that AbbVie will reimburse Morphic for its full-time equivalent (FTE) costs (for clarity, in excess of [***] FTE hours) and any reasonable and verifiable out-of-pocket costs incurred in providing such assistance.
