Intrinsic Value. Intrinsic Value The excess of the Stock Price (determined in accordance with this Schedule 1) over the prevailing Exercise Price multiplied by the number of shares of Common Stock underlying the portion of this Warrant that is subject to the Cashless Major Exercise (by reference to the number of shares of Common Stock that would be issuable upon a Cash Exercise of the Warrant or such portion thereof).
