Common use of International Business Machines Corporation Clause in Contracts

Pursuant to that certain Assignment and Assumption of Partnership Interest dated as of June 28, 1996, IBM assigned all of its interest in the Partnership to Mxxxxxx Partners and Mxxxxxx Partners assumed all of IBM's interest and obligations under the Partnership Agreement as of the date thereof. Carlyle 14 and Carlyle 15 acknowledge and agree to such assignment by IBM to Mxxxxxx Partners under the Partnership Agreement.
