Interim Administration. Seller and the Trustee will continue its administration of the NPI in the ordinary course of its business, and will not sell or otherwise dispose of any portion of the NPI. Without expanding any obligations which Seller or the Trustee may have to Buyer, it is expressly agreed that Seller's and the Trustee's standard of care with respect to the administration of the NPI shall not be greater than that which it might have as the operator to a non-operator under the AAPL 610 (1989 Revision) form Operating Agreement, IT BEING RECOGNIZED THAT UNDER SUCH FORM THE OPERATOR IS NOT RESPONSIBLE FOR ITS OWN NEGLIGENCE, AND HAS NO RESPONSIBILITY OTHER THAN FOR GROSS NEGLIGENCE OR WILFUL MISCONDUCT.
Interim Administration. 7.1. Until the Closing Date or the end of this Contract, the SALERS guarantee that the OURO VERDE and Sidma administration they were and will be accomplished in a responsible way and maintaining the normal course of the activities of the company, not increasing OURO VERDE debts (except in the approved measure by the BUYER) and executing all of the obligations of the normal course of the companies, including to honor the debts expirations and taxes in the expiration dates, by Extraordinary Dispositions of Assets.

From the present date until the Closing Date or the end of this Contract, the SELLERS guarantee that the administration of XXXXXX and of the leased areas will be accomplished in a responsible way and maintaining the normal course of the activities of the company, executing all the normal obligations of the company, including to honor the due dates of debts and taxes.

  • Policy Administration The Company shall provide all required, necessary and appropriate claims, administrative and other services with respect to the Policies. The Company shall use reasonable care in its administration and claims practices with respect to the Policies and in administering and performing its duties under this Agreement and such practices, administration and performance shall (a) conform with Applicable Law; (b) not be fraudulent; and (c) be no less favorable than those used by the Company with respect to other policies of the Company not reinsured by the Reinsurer.

  • Claims Administration An employee will be required to comply with any and all rules and regulations and/or limitations established by the carrier or applicable third party administrator and contained in the policy, and employees and their dependents shall look solely to such carrier or third party administration for the adjudication of the payment of any and all benefits claims.

  • ADMINISTRATION SERVICES When a medical prescription drug is administered by infusion, the administration of the prescription drug may be covered separately from the prescription drug. Prescription drugs that are self-administered are not covered as a medical benefit but may be covered as a pharmacy benefit. Site of Care Program For some medical prescription drugs, after the first administration, coverage may be limited to certain locations (for example, a designated outpatient or ambulatory service facility, physician’s office, or your home), provided the location is appropriate based on your medical status. Preauthorization may be required to determine medical necessity as well as appropriate site of care. If we deny your request for preauthorization, or you disagree with our determination for the appropriate site of care, you can submit a medical appeal.   • Collateral Administration The Collateral Agent shall maintain a database of certain characteristics of the Collateral on an ongoing basis, and provide to the Borrower, the Servicer, the Administrative Agent and the Lenders certain reports, schedules and calculations, all as more particularly described in this Section 11.3, based upon information and data received from the Servicer pursuant to Section 7.7 or from the Lenders and/or the Administrative Agent.

  • Reinsurance Administration THE COMPANY shall perform all duties with respect to the administration of the reinsurance under this Agreement on the portion of the policies reinsured under this Agreement.
