Common use of Interested Transactions Clause in Contracts

Interested Transactions. A contract or transaction between the Company and the Managers or the Company’s officers or between the Company and another domestic or foreign association in which the Managers or the Company’s officers have a management role or a financial or other interest, shall not be void or voidable solely for that reason, or solely because such Managers or such officer participates in the authorization of the contract or transaction, if the contract or transaction is fair to the Company as of the time it is authorized, approved or ratified by the Managers or the Members as the case may be, and
