Integration Team. As soon as practicable after the date hereof, Parent and Company shall, subject to limitations imposed by applicable law, create an integration steering team with representatives appointed by the CEOs of Parent and the Company, and chaired by Parent. The integration steering team shall be responsible for facilitating the integration of the two companies as subsidiaries of Newco.
Integration Team. Promptly after the date hereof, Parent will establish an integration team (the "Integration Team"). The Integration Team will be comprised of senior executive officers of Parent and the Company and, to the extent appropriate, other management members from both Parent and the Company. The Integration Team will review its recommendations with the Management Board of Parent. The Parent's chief executive officer will work closely with the Integration Team which is responsible for proposing alternatives and recommendations regarding the matters and issues arising in connection with the integration of the two companies and their respective businesses, assets and organizations. The Parent's chief executive officer ultimately has the responsibility for approving the recommendations and alternatives of the Integration Team.
Integration Team. National Penn and TF Financial shall cooperate with each other in the selection of an integration team, which team shall plan and implement an orderly, cost-effective consolidation of TF Financial’s back room operations presently located in Newtown, Pennsylvania and elsewhere, into National Penn’s operations in Allentown, Wyomissing, Reading, Bethlehem or Boyertown, Pennsylvania or any other National Penn site. Consistent with TF Financial maintaining its independent status prior to the Effective Date, National Penn will provide sufficient resources and personnel to effectively guide the integration team.
Integration Team. CMTY and PRFS shall cooperate with each other in the selection of an integration team, which team shall plan and implement an orderly, cost-effective consolidation of the deposit and information technology operations of Community Banks into Blue Ball’s operations in Blue Ball, Pennsylvania.
Integration Team. As promptly as practicable after the Completion of the Contribution in Kind, the Gemalto Executive Chairman and Chief Executive Officer shall constitute an Integration Team to oversee the integration of the two companies’ operations. The members of such Integration Team shall be selected within the managers of the combined entities to implement the strategy of the combined entities as described in Section 4.1 reporting to the Executive Chairman of Gemalto.
Integration Team. NPB and NFC shall cooperate with each ----------------- other in the selection of an integration team, which team shall plan and implement an orderly, cost-effective consolidation of NFC's back room operations presently located in State College, Pennsylvania and elsewhere, into NPB's operations in Boyertown, Pennsylvania. Consistent with NFC maintaining its independent status prior to the Effective Date, NPB will provide sufficient resources and personnel to effectively guide the integration team.
Integration Team. As soon as practicable after the date hereof, Parent and the Company shall, subject to limitations imposed by applicable law, create a special integration steering team (the "Integration Team") which shall be chaired by Xxxxx Xxxxx and include Xxxxx Xxxxx, Xxxxxxx X. Xxxxxx and such other designees of each of the Company and Parent as Xxxxx Xxxxx and Xxxxxxx X. Xxxxxx shall xxxx appropriate. The functions of the Integration Team shall include (i) to direct the exchange of information and documents between the parties and their Subsidiaries as contemplated by Section 7.01, (ii) to review and evaluate proposed exceptions to the restrictions on the conduct of business pending the Merger set forth in Article VI, and (iii) the development of regulatory plans and proposals, corporate organizational and management plans, workforce combination proposals, and such other matters as they deem appropriate. ARTICLE VII
Integration Team. The Community Parties and East Prospect shall cooperate with each other in the selection of an integration team, which team shall plan and implement an orderly, cost-effective consolidation of the deposit and information technology operations of East Prospect into Community’s operations.
Integration Team. As soon as reasonably practicable after the date hereof, Parent and the Company shall establish an Integration Team with the primary responsibility and, subject to oversight and approval by the Chief Executive Officer of Parent, authority for, developing a plan for and implementing such Integration. The Integration Team shall be chaired by Xxxxx X. X'Xxxxxxxxxx (the "Integration Chair"). The Integration Committee shall be comprised of (a) the Integration Chair, (b) three senior executives of Parent, designated by the Chief Executive Officer of Parent, and (c) two other senior executives of the Company, designated by Xxxxx X. X'Xxxxxxxxxx. Subject to applicable Law, the Integration team will be concerned with matters relating to the integration of Parent's and the Company's respective businesses and personnel following the Effective Time ("Integration") and will periodically both prior to and following the Effective Time meet to discuss and review these matters until it is determined by the Chief Executive Officer of Parent that the Integration is complete and the Integration Team is dissolved. In making personnel decisions, the Integration Team shall evaluate the qualifications of each employee evaluated and the needs of the business after the Effective Time (without regard to the relative severance costs associated with a particular employee or group of employees).
Integration Team. NPB and CBT shall cooperate with each other in the selection of an integration team, which team shall determine if consolidation of some or all of CBT’s bank and/or trust back room operations is feasible and if so, to plan and implement an orderly, cost-effective consolidation of those operations into NPB's operations. Consistent with CBT maintaining its independent status prior to the Effective Date, NPB will provide sufficient resources and personnel to effectively guide the integration team.
