Integration Plan. In order to achieve the significant benefits that the Parties anticipate, including improved coordination of patient care services, reduction in the duplication of resources, enhanced access to capital markets and other efficiencies and cost savings, increased access to specialized health care markets, and other clinical and educational benefits, the Parties shall adhere to the post-Closing integration plan (the “Integration Plan”) set forth herein as Exhibit E, including its target implementation timetables.
Integration Plan. Following the Effective Date, Sellers, Survivor and AmeriPath shall diligently pursue their respective obligations under the Integration Plan which is attached hereto as Exhibit F.
Integration Plan. The Parent shall direct its representatives no later than two (2) weeks subsequent to the date hereof to present as fully developled a plan as commercially reasonably possible with respect to the integration of the business of the Company with the Parent to the Company's management (the "Integration Plan"). The Integration Plan shall, at a minimum, identify (i) Parent's overall integration strategy, (ii) functional areas that are not critical to the initial integration period, (iii) integration initiatives and synergy identification by functional area, (iv) integration focus areas and (v) the integration management team that will provide centralized oversight and coordination of the Integration Plan. Parent and the Company shall cooperate and use their reasonable combined efforts to implement the Integration Plan prior to Closing.
Integration Plan. Within thirty (30) days after the date hereof, the Alliance Managers, the Integration Representatives (as defined below) and such other individuals as the parties deem appropriate, shall meet (the "ORGANIZATIONAL MEETING") to begin developing and documenting in final form a written plan (the "INTEGRATION PLAN") for obtaining integration of the Novadigm Products and the OpenView Products with respect to user interfaces and operational status and activities relating to the management of digital assets and customer sites ("INTEGRATION") that includes, without limitation: (a) an explanation of how such integration of the Novadigm Products and the OpenView Products will be obtained and maintained, (b) a development and delivery schedule, (c) a list of inputs or requirements (e.g., specifications, object code, comments, equipment, etc.), if any, from each party that each deliverable requires (the "REQUIREMENTS"), (d) estimated costs to obtain such integration of the Novadigm Products and the OpenView Products and (e) any other information that the parties deem appropriate. The Alliance Managers, the Integration Representatives and such other appropriate individuals shall thereafter work diligently together to complete the development and documentation of the Integration Plan within ninety (90) days after the date hereof. The Integration Plan shall include a schedule for introducing the first Novadigm Product integrated with an OpenView Product within one hundred eighty (180) days of the date of this Agreement. Notwithstanding the foregoing, each party will use commercially reasonable efforts to cause each deliverable to substantially conform to the list of minimum inputs or requirements ("MINIMUM INTEGRATION REQUIREMENTS") set forth on Section I of Schedule A attached hereto within one hundred eighty (180) days of the date of this Agreement.
Integration Plan. The Contractor shall submit to ASES, for its review and approval, an Integration Plan incorporating the elements in this Article 8, according to the timeframe specified in Attachment 12 to this Contract.
Integration Plan. Integration Plan. (a) On and from the Execution Date until the Completion Date the Parties must:
(i) perform or procure the performance of their respective obligations under the Integration Plan in accordance with the terms of this agreement and the Integration Plan; and
(ii) use their respective reasonable endeavours to meet the timetable set out in the Integration Plan and meet all milestones in the Integration Plan.
(b) The Parties acknowledge and agree that the current working version of the Integration Plan included in Schedule 1 as at the Execution Date will continue to be further developed, refined and matured by the Integration Management Office on and from the Execution Date until the Completion Date to articulate all Integration Activities to be undertaken during the following three phases:
(i) from the Execution Date to the Completion Date (limited to planning and scoping activities);
(ii) on the Completion Date; and
(iii) following the Completion Date (noting that, in this period, Integration Activities are to be undertaken solely by Woodside).
(c) The Parties acknowledge and agree that BHP has no responsibilities or obligations to, and will not undertake any Integration Activities on and from Completion, and that prior to Completion the Target Group and Target Petroleum Business will continue to operate separately from, make separate independent business decisions from, and compete with the Woodside Group.
(d) The Parties must, through the Integration Management Office, regularly review progress against the Integration Plan prior to Completion.

The Sellers and the Purchaser shall have mutually agreed a plan documented in writing ("Integration Plan") whereby the Company, the PRC WFOE, the Related Entity and the Key Employees shall work with the senior management of present and future subsidiaries and Affiliate of CDC and CMIC, including but not limited to Palmweb Inc., Beijing Newpalm Information Technology Co. Ltd. and Beijing Wisecom Information Technology Co. Ltd, with an aim to enhance the growth of the Company and to drive synergies among the Company, the PRC WFOE, the Related and the group of CDC and CMIC.

During the Determination Period, the Sellers, the Company and the Related Entity shall work, in good faith, to formulate and carry out a technical integration plan in order to effectively integrate the Related Entity's WAP services platforms with those of the Purchaser or its relevant Subsidiaries or Affiliates, including but not limited to Palmweb Inc., PRC WFOE, Beijing Newpalm Information Technology Co. Ltd.
