Integration Plan Sample Clauses

Integration Plan. Sellers shall respond and cooperate with an integration plan that will be developed by Buyer and shall respond to the questionnaire set forth on Exhibit F to this Agreement, with true, correct, complete and detailed responses, in order to assist Buyer in the preparation of an integration plan.

Integration Plan. The Parent shall direct its representatives no later than two (2) weeks subsequent to the date hereof to present as fully developled a plan as commercially reasonably possible with respect to the integration of the business of the Company with the Parent to the Company’s management (the “Integration Plan”). The Integration Plan shall, at a minimum, identify (i) Parent’s overall integration strategy, (ii) functional areas that are not critical to the initial integration period, (iii) integration initiatives and synergy identification by functional area, (iv) integration focus areas and (v) the integration management team that will provide centralized oversight and coordination of the Integration Plan. Parent and the Company shall cooperate and use their reasonable combined efforts to implement the Integration Plan prior to Closing.

Integration Plan. The parties have agreed to an integration plan (which will comply with applicable law and privacy and security requirements), attached as Exhibit A hereto, for integrating the WebMD PHR Product (as defined below) and the EMR Product so as to enable patients and physicians to communicate more effectively (the “Integration Plan”). In accordance with the Integration Plan, the integration of the EMR Product with the WebMD PHR Product will, inter alia, allow users of WebMD’s personal health record services to import information from the EMR Product.

Integration Plan. The Contractor shall submit to ASES, for its review and approval, an Integration Plan incorporating the elements in this Article 8, according to the timeframe specified in Attachment 12 to this Contract.

Integration Plan. If the Development is comprised of both market rate and low income units, and consists of more than one building, an Integration Plan which outlines the distribution of low and very low income households and families throughout the Development, will be submitted by the Owner and approved by IHDA prior to initial closing. Agent must comply with and implement the Integration Plan, which is referenced in Section VI. of the Management Plan Requirement Outline. (The Integration Plan is not required for those developments which receive Low Income Housing Tax Credits.)
