Integration Plan. In order to achieve the significant benefits that the Parties anticipate, including improved coordination of patient care services, reduction in the duplication of resources, enhanced access to capital markets and other efficiencies and cost savings, increased access to specialized health care markets, and other clinical and educational benefits, the Parties shall adhere to the post-Closing integration plan (the “Integration Plan”) set forth herein as Exhibit E, including its target implementation timetables.
Integration Plan. Sellers shall respond and cooperate with an integration plan that will be developed by Buyer and shall respond to the questionnaire set forth on Exhibit F to this Agreement, with true, correct, complete and detailed responses, in order to assist Buyer in the preparation of an integration plan.
Integration Plan. The Parent shall direct its representatives no later than two (2) weeks subsequent to the date hereof to present as fully developled a plan as commercially reasonably possible with respect to the integration of the business of the Company with the Parent to the Company’s management (the “Integration Plan”). The Integration Plan shall, at a minimum, identify (i) Parent’s overall integration strategy, (ii) functional areas that are not critical to the initial integration period, (iii) integration initiatives and synergy identification by functional area, (iv) integration focus areas and (v) the integration management team that will provide centralized oversight and coordination of the Integration Plan. Parent and the Company shall cooperate and use their reasonable combined efforts to implement the Integration Plan prior to Closing.
Integration Plan a. The President and CEO of OHSU and President and CEO of Legacy will establish a Transition and Integration Management Office (TIMO). The TIMO will be led by a Chief Transition and Integration Officer and will have representatives from both organizations. The Chief Transition and Integration Officer could come from Legacy, OHSU, or be an external candidate. The TIMO will be focused on the following activities, with clear deliverables, all in accordance with permissible antitrust guidelines: ▪ developing plans for Day 1 post-closing; ▪ overseeing workstreams for integration planning, including engaging both employed and independent providers from both systems; and ▪ conducting a cultural assessment.
Integration Plan. The Contractor shall submit to ASES, for its review and approval, an Integration Plan incorporating the elements in this Article 8, according to the timeframe specified in Attachment 12 to this Contract.

Integration Plan. OHSU and Legacy Health shall, consistent with all applicable Legal Requirements and under the guidance of their respective counsel, develop a plan to guide the post-Closing integration of the pre-Closing Legacy Health facilities and operations into OHSU (the “Integration Plan”). The Integration Plan shall reflect implementation of best practices relating to the sharing of certain back office functions, including, but not limited to, revenue cycle, supply chain, information technology, human resources, finance, risk management, legal and audit/compliance, as well as the possible migration to a single instance of Epic and conforming other material information technology systems to a uniform system across all combined system facilities and entities over time. The Integration Plan will be fully developed by the Parties between the Execution Date and the Closing Date. Attached as Exhibit E is a summary of the process for developing and finalizing the Integration Plan that OHSU and Legacy Health have mutually developed as of the Execution Date (the “Integration Plan Process Summary”). To the extent of any conflict between this Agreement and the Integration Plan or the Integration Plan Process Summary, the terms of this Agreement shall control.
