Insurance; Other Benefits. Accident, disability, life and health insurance for the Employee shall be provided by the Employer under group accident, life and health insurance plans maintained by the Employer for its full-time, salaried employees as such employment benefits may be modified from time to time by the Board for all full-time, salaried employees. In addition, the Employer shall either continue the Employee's current individual disability insurance policy or arrange for coverage under an alternative disability insurance policy which is no less favorable. The amount and extent of such coverage shall be subject to the discretion of the Board; provided, that the amount and extent of such coverage shall be no less favorable than such coverage provided by the Employer to the Employee immediately prior to the date hereof.

In addition: (i) the Employer will reimburse the Employee for up to $25,000, per annum, of documented personal life insurance premiums paid by the Employee (it being understood that the Employer will not be listed as the beneficiary); (ii) Employee shall be entitled to participate in the Company’s Non-Qualified Deferred Compensation Plan, on terms consistent with other senior executives of the Company; and (iii) Company will match Employee’s documented expenditures for private aircraft charters (i.e. split the costs) for flights taken for legitimate business purposes, up to a maximum aggregate reimbursement of $125,000 in any calendar year (with no additional duplicative reimbursement for first class equivalent or similar fares).

In addition, the Executive shall be entitled to the use of an automobile of like quality used by other executives of the Company and a parking space in the Company's building, which shall be paid for by the Company.

During the period prior to the effective time of any health insurance plan adopted by the Employer and the Employee's effective date of participation therein, the Employer shall reimburse the Employee for his out-of-pocket costs in maintaining individual health insurance for the Employee and his spouse and children under COBRA. The Employee will provide the Employer with appropriate proof of payment.
