INSURANCE, INDEMNITY AND HOLD HARMLESS. The Diversion Authority shall secure insurance coverage against any liability that might be incurred through performance of this agreement. The Diversion Authority shall fully defend, indemnify and hold harmless the parties to this Agreement against all claims, losses, liability, suits, judgments, costs and expenses by reason of the action or inaction of the Diversion Authority, or the employees or the agents of the Diversion Authority. The Diversion Authority’s agreement to indemnify and hold harmless does not constitute a waiver by any party to this Agreement of limitations on liability provided under relevant liability limitation statutes. The indemnification obligation relating to the co-sponsors of the Project provided in Article VII of this Agreement shall not be subject to the statutory limits of liability contained in state law. To the full extent permitted by law, actions by the parties pursuant to this Agreement are intended to be and shall be construed as a “cooperative activity” and it is the intent of the Parties that they shall be deemed a “single governmental unitfor the purpose of liability. For purposes of relevant joint powers statutes, each party to this Agreement expressly declines responsibility for the acts or omissions of the other Parties. The Parties to this Agreement are not liable for the acts or omissions of the other Parties to this Agreement except to the extent to which they have agreed in writing to be responsible for acts or omissions of the other Parties.

INSURANCE, INDEMNITY AND HOLD HARMLESS. The Tenant shall be responsible to the Landlord from the time of the signing the agreement or the taking of possession, whichever shall be earlier, for all injury or damage of any kind to property, real or personal, resulting from any negligent act or omission or breach, failure or other default regarding the use of the property by the Tenant, or any of its subtenants, its contractors, its agents, employees or others working at the direction of Tenant or on Tenant’s behalf. Tenant acknowledges and agrees that Landlord shall have no liability for any loss of Tenant’s property, Tenant’s business opportunity, or any other loss whatsoever; and Tenant releases Landlord therefrom.

Sourcewell’s responsibility will be governed by the State of Minnesota’s Tort Liability Act (Minnesota Statutes Chapter 466) and other applicable law.
