Insurance and Benefit Plans. All insurance policies relating to the Business, including policies relating to the property, liability, business interruption, health and worker’s compensation and the lives of the employees of Seller Group; and
Insurance and Benefit Plans. 17 . 01 – In s u r a n c e Be n e fi ts Fo r Re g u la r Em plo y e e s During the life of this Agreement, the Company agrees to provide to eligible Regular Employees, a comparable benefit plan as the one currently in place. This Plan will consist of Life Insurance, Dependent Life Insurance, Accidental Death and Dismemberment, Medical, Travel and Hospital Benefits, and Long Term Disability. Notwithstanding the above, all Temporary Employees, except those employed as a student, shall after the completion of twelve (12) months continuous employment on a part-time or full-time basis with no subsequent interruption of service with the Company be entitled to all of the rights and privileges granted to Regular Employees under this Clause.
Insurance and Benefit Plans. The parties acknowledge and agree that effective at the Closing, (a) all insurance coverage maintained by the Seller for the benefit of the Company or any of the Company’s subsidiaries shall be terminated, and (b) the Seller shall have no liability to employees of the Company under any Benefit Plans and eligibility for and benefits under all Benefit Plans maintained by the Seller for the benefit of employees of the Company shall be terminated. For purposes hereof, “Benefit Plans” means any and all deferred compensation, incentive compensation, equity-based compensation plan, employment or consulting, severance or termination pay, holiday, vacation or other bonus plan or practice, hospitalization or other medical, life or other insurance, supplemental unemployment benefits, profit sharing, pension, or retirement plan, program, agreement, commitment or arrangement, and each other employee benefit plan, program, agreement or arrangement of any kind or nature, or with respect to which such Person has any liability, whether direct or indirect, actual or contingent, whether formal or informal, and whether legally binding or not. For purposes of this Agreement, “Person” means any individual or entity, including any corporation, company, association, partnership, limited liability company, joint venture, trust or unincorporated organization. Notwithstanding the foregoing, the parties acknowledge and agree that the dental, life, accidental death and dismemberment, and vision insurance benefits available under an insurance policy issued by The Guardian Life Insurance Company of America shall terminate on or before March 31, 2022.
Insurance and Benefit Plans. So long as a person nominated by BP has a seat on the Board and so long as BP owns 20% or more of the AMBI Common Stock, BP will cause its affiliate Xxxxx Xxxxx Inc. ("BPI"), to the extent permitted by BPI's insurers, to include AMBI and its subsidiaries in BPI's employee health insurance and other benefit plan coverages at a charge to AMBI equal to the incremental cost to BPI for such inclusion. BP will cause BPI to use commercially reasonable efforts to obtain for AMBI on competitive terms from BPI's insurers, other insurance coverages as AMBI may request, e.g. D & O Insurance and product liability insurance. Nothing in this Section 3.1 shall obligate BP or any of its affiliates to take any action that would have an adverse effect on any such insurance or benefit plans.
Insurance and Benefit Plans. KDC shall satisfy, or cause its insurance carriers to satisfy, all claims for medical, health and hospital benefits, whether insured or otherwise (including, but not limited to, workers compensation, life insurance, medical and disability programs), under KDC's employee benefit plans brought by, or in respect of, Affected Employees and former employees of the KDC prior to the Closing Date, in accordance with the terms and conditions of such employee benefit plans or applicable workers compensation statutes without interruption as a result of the employment by ProMedCo-Temple of any such employees after the Closing Date.
Insurance and Benefit Plans. You shall be entitled to participate in any present or future hospitalization or medical insurance plan or such other employee benefit plans which are generally available on a group basis to employees of Imprint of comparable level and status and which may be in effect from time to time during the Term of this agreement. Until such time as (i) Imprint has a group hospitalization or medical insurance plan in effect for its employees or (ii) time expires for your participation in the group insurance benefits provided by your previous employer under the federal act commonly referred to as "COBRA," whichever shall occur first, Imprint will reimburse you for each payment made by you for premiums due to maintain those insurance benefits available to you under COBRA upon receipt by Imprint of each receipt provided to you by such previous employer or the insurance carrier for each payment made by you or your written notification that such premium has been paid by you.
