Installation, Configuration and Demonstration of the Software. The Professional Services provided are limited to assisting Licensee with the general use and operation of the Software during a three (3) contiguous day period as set forth below, whereby the commencement of the three (3) consulting days shall be mutually agreed by the parties. The Professional Services designated herein are designed solely to provide knowledge transfer of the use of the Software to the Licensee’s resources. ■ Day 1: Prepare Activities: Licensor will assist Licensee with the following activities: - Reviewing Professional Services engagement (e.g., daily activities and prerequisites) - Providing an overview of Software architecture - Reviewing the sample data set provided by Licensor which to be loaded in the target database - Commencing the installation, configuration and smoke test of the Software in a single non-production environment Prerequisites: Prior to the commencement of Day 1, Licensee will have: - Downloaded the Software - Provisioned the target Snowflake environment in Amazon Web Services (“AWS”) - Scheduled the person with the administrative credentials necessary to install the Snowflake protector to be available to assist on Day 1 - Identified policy user credentials required to conduct the Snowflake protector demonstration - Identified up to five (5) sensitive fields to be protected/unprotected from the sample data - Scheduled the Licensee resource(s) with appropriate access to Licensee’s AWS account (e.g., access to execute cloud formation scripts, create AWS identity and access management (IAM) roles, key management services, security groups, lambda and lambda layers, simple storage service (“S3”) buckets, CloudWatch) - Ensure the availability of and access to customer business and technical stakeholders (e.g., business analysts, database administrator(s), network administrator(s), AWS administrator(s), project manager(s), and security/privacy officer(s)) as necessary for the duration of the engagement

  • Installation and Use You may install and use the Software only for the number of licenses acquired by you. In order to exercise your rights to the Software under this Agreement, you must activate your copy of the Software in the manner described during the launch sequence.

  • Software Use Case Red Hat Enterprise Virtualization Supported on physical hardware solely to support virtual quests. Red Hat Enterprise Virtualization is designed to run and manage virtual instances and does not support user-space applications. Red Hat Enterprise Virtualization may be used as a virtual desktop infrastructure solution, however, the Subscription does not come with any software or support for the desktop operating system. You must purchase the operating system for each instance of a desktop or server separately.

  • Specification and Service Levels The Specification sets out the Services that the Contractor has undertaken to provide. The Specification includes Service Levels setting out particular levels of service that the Contractor has undertaken to meet.

  • Joint Network Implementation and Grooming Process Upon request of either Party, the Parties shall jointly develop an implementation and grooming process (the “Joint Grooming Process” or “Joint Process”) which may define and detail, inter alia:

  • Access to Network Interface Device (NID 2.4.3.1. Due to the wide variety of NIDs utilized by BellSouth (based on subscriber size and environmental considerations), Mpower may access the on-premises wiring by any of the following means: BellSouth shall allow Mpower to connect its loops directly to BellSouth’s multi-line residential NID enclosures that have additional space and are not used by BellSouth or any other telecommunications carriers to provide service to the premise. Mpower agrees to install compatible protectors and test jacks and to maintain the protection system and equipment and to indemnify BellSouth pursuant to Section 8 of the General Terms and Conditions of this Agreement.

  • Installation and Maintenance Except for the bi‐directional and production metering equipment owned by the City, all equipment on Customer’s side of the delivery point, including the required disconnect device, shall be provided and maintained in satisfactory operating condition by Customer and shall remain the property and responsibility of the Customer. The City will bear no responsibility for the installation or maintenance of Customer’s equipment or for any damage to property as a result of any failure or malfunction thereof. The City shall not be liable, directly or indirectly for permitting or continuing to allow the interconnection of the Facility or for the acts or omissions of Customer or the failure or malfunction of any equipment of Customer that causes loss or injury, including death, to any party.

  • System Upgrade Facilities and System Deliverability Upgrades Connecting Transmission Owner shall design, procure, construct, install, and own the System Upgrade Facilities and System Deliverability Upgrades described in Appendix A hereto. The responsibility of the Developer for costs related to System Upgrade Facilities and System Deliverability Upgrades shall be determined in accordance with the provisions of Attachment S to the NYISO OATT.

It is your responsibility to notify the Custodian of any email address change or residential address change. We will not be held liable for any losses or damages if you have not provided Custodian with the most current address information. The electronically signed copy of this document should be considered equivalent to a printed hard copy form. It is considered a true and complete record of the document, admissible in arbitration and/or administrative hearings or proceedings. Your electronic signature on the Application and other electronic forms such as the Investment Direction are considered valid and the same as if the paper form or Application were signed.

  • Installation, Inspection, and Maintenance The Contractor is responsible for installation and maintenance of the BMPs as a part of its Bid. The Design Professional shall obtain the services of a qualified testing laboratory to inspect the BMPs in accordance with the permits, the costs of such inspections to be borne by the Owner. In the event of Abnormal Weather Conditions or force majeure, the Contractor shall be compensated for re-installation of BMPs at established Unit Prices.
