Informational Purpose. The purpose of this website is to provide you with information about the Southern California Drug Benefit Fund (“Benefit Fund”), the Southern California United Food and Commercial Workers Unions and Drug Employers Pension Fund (“Drug Pension Fund”) and the Southern California General Sales Employers and United Food and Commercial Workers Unions Pension Fund (“General Sales Pension Fund”). All three funds are collectively referred to in the Terms as the “Funds.” The Funds are administered by the Trust Fund Office (“Trust Fund Office”). The information on this website is intended for the participants in the Funds and their covered spouses, domestic partners, dependents and beneficiaries (collectively “Covered Persons”) and the Funds’ providers. The documents on this website (including, but not limited to, any Summary Plan Documents (“SPDs”)) are not the official medical or pension plans of the respective Funds (the “Plan Documents”). Neither the SPDs, this website nor any statement or promise made by any person (including employees of the (i) Trust Fund Office, (ii) UFCW local unions or (iii) contributing employers) can modify the Plan Documents in any way. In the event of any difference between this website (including the SPDs) and the Plan Documents, the Plan Documents shall control. Only the Board of Trustees for the applicable Fund has the discretion and authority to determine questions concerning the interpretation or administration of that Fund including, but not limited to, all questions relating to eligibility for, and amount of, benefits. Seller shall also provide to Buyer’s representative a signed representation letter in form and substance reasonably acceptable to Seller sufficient to enable an independent public accountant to render an opinion on the financial statements related to the Hotel. Buyer will reimburse Seller for costs reasonably incurred by Seller to comply with the requirements of the preceding sentence to the extent that Seller is required to incur costs not in the ordinary course of business for third parties to provide such representation letters. The provisions of this Section shall survive Closing or termination of this Contract.

  • Information Access Each Party (“Disclosing Party”) shall make available to another Party (“Requesting Party”) information that is in the possession of the Disclosing Party and is necessary in order for the Requesting Party to: (i) verify the costs incurred by the Disclosing Party for which the Requesting Party is responsible under this Agreement; and (ii) carry out its obligations and responsibilities under this Agreement. The Parties shall not use such information for purposes other than those set forth in this Article 25.1 of this Agreement and to enforce their rights under this Agreement.
