All books, records, files and papers, whether in hard copy, computer format or other electronic format, to the extent used or held for use in the Business, including sales and promotional literature, manuals and data, sales and purchase correspondence, lists of present and former suppliers and lists of present and former customers (the “Information and Records”); provided, that, notwithstanding anything to the contrary in this Section 2.1(e), the term “Information and Records” shall be deemed not to include (i) any information or records which constitute “Technology” (except to the extent transferred pursuant to Section 2.1(g)), (ii) any Proceeding files or Contract files other than files related to the Purchased Contracts or (iii) the portion of any information or records related to an Excluded Asset or Retained Obligation; and further provided, that (A) the Sellers shall be entitled to retain copies of the Information and Records; and (B) if any particular record of any Seller contains both information to be transferred to the Purchasers pursuant to this Section 2.1(e) and other information, then such Seller can, at its option, either (1) provide a copy of such record to the Purchasers subject to the Purchasers’ obligations contained herein to keep such other information confidential or (2) create a new record that separates out the information to be transferred to the Purchasers pursuant to this Section 2.1(e) and provide a copy of such new record to the Purchasers;

(a) Each Party shall maintain complete, current and accurate records of all work conducted by it under the Research Plan and any Development Plan, including all data and other Know-How resulting from such work. Such records shall fully and properly reflect all work done and results achieved in the performance of the Research Plan and Development Plan in sufficient detail and in good scientific manner appropriate for patent and regulatory purposes. Each Party shall have the right to review such records maintained by the other Party at reasonable times, upon written request. Each Party shall provide written reports to the JSC on its Research, Development and regulatory activities with the Product pursuant to the applicable Research Plan and Development Plan on an annual basis at the end of each calendar year, at a level of detail reasonably sufficient to enable the other Party to determine the reporting Party’s compliance with its Commercially Reasonable Efforts obligations under Section 4.1.

You agree that it is your responsibility to insure that any Provider, other Blue Cross and Blue Shield Plan, insurance company, employee benefit association, government body or program, any other person or entity, having knowledge of or records relating to (a) any illness or injury for which a Claim or Claims for bene fits are made under this Certificate, (b) any medical history which might be pertinent to such illness, injury, Claim or Claims, or (c) any benefits or indemnifi cation on account of such illness or injury or on account of any previous illness or injury which may be pertinent to such Claim or Claims, furnish to the Plan or its agent, and agrees that any such Provider, person, or other entity may furnish to the Plan or its agent, at any time upon its request, any and all information and records (including copies of records) relating to such illness, injury, Claim or Claims. In addition, the Plan may furnish similar information and records (or copies of re cords) to Providers, other Blue Cross and Blue Shield Plans, insurance companies, governmental bodies or programs, or other entities providing insur ance‐type benefits requesting the same. It is also your responsibility to furnish the Plan and/or your employer or group administrator information regarding you or your dependents becoming eligible for Medicare, termination of Medicare eligi bility, or any change in Medicare eligibility status, in order that the Plan be able to make Claim Payments in accordance with MSP laws. MEMBER DATA SHARING You may, under certain circumstances, as specified below, apply for and obtain, subject to any applicable terms and conditions, replacement coverage. The re placement coverage will be that which is offered by Blue Cross and Blue Shield of Illinois, a division of Health Care Service Corporation, or, if you do not reside in the Blue Cross and Blue Shield of Illinois service area, by the Host Blues whose service area covers the geographic area in which you reside. The circum stances mentioned above may arise in various circumstances, such as from involuntary termination of your health coverage sponsored by your Group, but solely as a result of a reduction in force, plant/office closing(s) or group health plan termination (in whole or in part).
