Independent Supplier. 6.1 Nothing in this Contract constitutes a legal relationship between the Parties of partner- ship, joint venture, agency, or employment. The Supplier is responsible for the liability of its own, and its Personnel’s, salary, wages, holiday or redundancy payments and any GST, corporate, personal and withholding taxes, accident compensation premi- ums or other levies attributable to the Supplier’s business or the engagement of its Personnel. Independent Supplier. 5.1 In all matters pertaining to this agreement, SUPPLIER shall be acting as an independent SUPPLIER, and neither SUPPLIER nor any officer, employee or agent of SUPPLIER will be deemed an employee of CITY. Except as expressly provided in Attachment A, SUPPLIER has no authority or responsibility to exercise any rights or power vested in the City and therefore has no authority to bind or incur any obligation on behalf of the City. The selection and designation of the personnel of the CITY in the performance of this agreement shall be made by the CITY.
Independent Supplier. 15.1. It is expressly agreed that the Supplier is an independent Supplier and not an employee, immediate family member of an employee, agent, joint venture or partner of Tearfund. All of the Supplier’s activities will be at his or her own risk and liability, and the Supplier shall not be entitled to employee compensation or other insurance protection or benefits from Tearfund. The Supplier shall have no right or authority to assume or create any obligations of any kind or to make representations or warranties on behalf of Tearfund, whether express or implied, or to bind Tearfund in any respect whatsoever. Tearfund shall not pay any contribution to social insurance, unemployment insurance, federal or regional withholding taxes, nor provide any other contribution or benefits which might be expected in an employer-employee relationship. The Supplier agrees to report and pay any contributions for taxes, unemployment insurance, social insurance, and/or other benefits for the Supplier or the Supplier’s employees or sub-suppliers.
Independent Supplier. Supplier is and shall always remain an independent contractor in its performance of this Agreement. With the exception of staff augmentation engineering services required by Company, where Supplier’s personnel work out of Company’s offices under Company’s direction, the provisions of this Agreement shall not be construed as authorizing or reserving to Company any right to exercise any control or direction over the operations, activities, employees or agents of Supplier in connection with this Agreement. Neither party to this Agreement shall have any authority to employ any person as agent or employee for or on behalf of the other party to this Agreement for any purpose, and neither party to this Agreement, nor any person performing any duties or engaging in any work at the request of such party, shall be deemed to be an employee or agent of the other party to this Agreement. Company shall carry no worker's compensation insurance, health insurance or accident insurance to cover the Supplier, or any of its agents, employees or subcontractors. Company shall not pay any contributions to Social Security, unemployment insurance, federal or state withholding taxes, or provide any other contributions or benefits which might be expected in an employer/employee relationship. The Supplier agrees to report and pay any contributions for taxes, unemployment insurance, Social Security and any other required payments himself or herself.
Independent Supplier. The Supplier shall be an independent contractor performing the Contract. The Contract does not create any agency, partnership, joint venture, or other joint relationship between the parties to the Contract. All employees, representatives, or Subcontractors engaged by the Supplier in connection with the performance of the Contract shall be under the complete control of the Supplier and shall not be deemed to be employees of the Purchaser, and nothing contained in the Contract or in any subcontract awarded by the Supplier shall be construed to create any contractual relationship between any such employees, representatives, or Subcontractors and the Purchaser.
Independent Supplier. The Parties acknowledge that the relationship between them pursuant to this BOA, the Annex(es), and any resulting Order is that of independent contractors, and nothing contained herein shall be deemed to create a relationship of partners, joint venture, agent and principal, employer and employee, or any relationship other than that of independent contractors. At no time shall either Party make any commitments or incur any charges or expenses for or in the name of the other Party.

As an independent contractor, Supplier shall be solely responsible for determining the means and methods for performing the required services or providing the required goods hereunder. Independent Supplier. The Seller shall have the legal status of an independent Supplier. Any person assigned by the Seller to perform services under this Contract shall remain in the employment of the Seller. Without restricting the generality of the foregoing, UNIDO shall not be liable for any claims and demands, loss, costs, damages, actions, suit or other proceedings, brought or prosecuted, in any manner based upon, occasioned by or attributable to the employment relationship between any person assigned by the Seller to perform services under this Contract and the Seller. The Seller and his employees shall conform to all applicable laws, regulations and ordinances promulgated by legally constituted authorities of the Government(s) of the country/countries in which the contract work is to be performed.
