Common use of Independent Evaluation Clause in Contracts

Independent Evaluation. Buyer acknowledges that it is an experienced and knowledgeable investor in the oil and gas business, and the business of purchasing, owning, developing and operating oil and gas properties such as the Assets. In making the decision to enter into this Agreement and to consummate the transactions contemplated hereby, Buyer has relied solely upon (a) its own independent due diligence investigation of the Assets and (b) the express representations and warranties made by Seller in this Agreement, and the agreements, certificates and other documents to be delivered by Seller at or prior to the Closing, and has been advised by and has relied solely on its own expertise and its own legal, tax, operations, environmental, reservoir engineering and other professional counsel and advisors concerning this transaction, the Assets and the value thereof.

Independent Evaluation. Buyer acknowledges that it is an experienced and knowledgeable investor in the oil and gas business. Prior to executing this Agreement, Buyer has conducted all title and the business other due diligence, including a review of purchasingSeller's records, owning, developing and operating oil and gas properties such as the Assets. In making the decision it deemed necessary to enter into this Agreement and to consummate proceed with the transactions contemplated herebyherein. Further, Buyer understands that Seller has relied solely upon (a) its own made no representations or warranties as to the accuracy or completeness of the records Seller has made available to Buyer. The Purchase Price reflects Buyer's independent due diligence investigation assessment of the value of the Assets and (b) the express representations and warranties made by Seller in this Agreement, and the agreements, certificates and other documents to be delivered by Seller at or prior to the Closing, and based upon such due diligence. Buyer has been advised by and has relied solely on upon its own expertise and its own in title, legal, tax, operations, environmental, reservoir engineering and other professional counsel and advisors concerning this transaction, the Assets Leases and the value thereof.
