Common use of Independent Evaluation Clause in Contracts

Independent Evaluation. As of Closing, Buyer represents that it is sophisticated in the evaluation, purchase, operation and ownership of oil and gas properties and that in making its decision to enter into this Agreement and to consummate the transaction contemplated herein, and has satisfied itself as to the physical condition and environmental condition of the Purchased Assets.

In making its decision to enter into this Agreement and to consummate the transaction Transactions contemplated herein, Buyer represents that, except for any express representations or warranties of Seller contained herein, or in documents delivered at Closing, including, without limitation, Seller’s special warranty of title contained in the Lease Assignment and the Xxxx of Sale and Assignment, Buyer has satisfied itself as to the physical condition relied solely on its own independent investigation and environmental condition evaluation of the Purchased AssetsSeller Property.

In making its decision to enter into this Agreement and to consummate the transaction contemplated herein, Buyer represents that: (a) it has relied solely on its own independent investigation and evaluation of the Properties, and (b) it has satisfied itself as to the physical condition and environmental condition of the Purchased AssetsProperties.

Independent Evaluation. As of Closing, Buyer represents that it is sophisticated in the evaluation, purchase, operation and ownership of oil and gas properties and that in properties. In making its decision to enter into this Agreement and to consummate the transaction contemplated herein, Buyer represents that it has relied solely on its own independent investigation and has evaluation of the Properties and that at Closing Buyer will have satisfied itself as to the title, physical condition and the environmental condition of the Purchased AssetsProperties.

Independent Evaluation. As of Closing, Buyer represents that it is sophisticated in the evaluation, purchase, operation and ownership of oil gas gathering and gas properties and that in related properties. In making its decision to enter into this Agreement and to consummate the transaction contemplated herein, Buyer represents that it has relied solely on its own independent investigation and evaluation of the Properties together with the express representations and warranties of Seller set forth in this Agreement. Except for the environmental condition of the Properties, for which Buyer has the procedures set forth in Article 4, Buyer has satisfied itself as to the physical condition and environmental condition of the Purchased AssetsProperties.

As of Closing, Buyer represents that it is sophisticated in the evaluation, purchase, operation and ownership of oil and gas properties and that in making its decision to enter into this Agreement and to consummate the transaction contemplated herein, Buyer has relied and shall rely solely on its own independent investigation and evaluation of the Properties and has satisfied itself as to the physical condition and environmental condition of the Purchased AssetsProperties.

Subject to the provisions herein, Buyer has satisfied itself as to the physical condition and the environmental condition of the Purchased AssetsProperties.

As of Closing, Buyer represents that it is sophisticated in the evaluation, purchase, operation and ownership of oil and gas the type of properties and that in comprising the Properties. In making its decision to enter into this Agreement and to consummate the transaction contemplated herein, Buyer represents that it has relied on its own independent investigation and evaluation of the Properties and on the terms and conditions of this Agreement, and that, as of Closing, Buyer has satisfied itself as to the physical condition and the environmental condition of the Purchased AssetsProperties.

As of Closing, Buyer represents that it is sophisticated in the evaluation, purchase, ownership and operation and ownership of oil and gas properties and that related facilities similar to the Properties, and in making its decision to enter into this Agreement and to consummate the transaction transactions contemplated herein, Buyer (a) relied solely on its own independent investigation and has satisfied itself as to the physical condition and environmental condition evaluation of the Purchased Assets.Properties and the advice of its engineers, contractors, geological and geophysical advisors, lawyers and accountants and not on any comments, statements, reports, projections or other documents or materials provided by or for Seller or its agents, whether before or after execution of this Agreement, and

In making its decision to enter into this Agreement and to consummate the transaction contemplated herein, Buyer represents that it has relied solely on its own independent investigation and has satisfied itself as to the physical condition and environmental condition evaluation of the Purchased AssetsAssets together with the express representations and warranties of Seller set forth in this Agreement.

Independent Evaluation. As of Closing, Buyer represents that it is sophisticated in the evaluation, purchase, operation and ownership of oil and gas properties and that in making its decision to enter into this Agreement and to consummate the transaction contemplated herein, Buyer has relied and shall rely solely on its own independent knowledge, investigation and evaluation of the Subject Interests and has satisfied itself as to the physical condition and environmental condition of the Purchased AssetsSubject Interests.
