Common use of Independent Activities Clause in Contracts

Independent Activities. Subject to any other agreement among the parties, Partners and Affiliates of Partners may, notwithstanding the existence of this Agreement, engage in whatever activities they choose without having or incurring any obligation to offer any interest in such activities to the Partnership or any Partner, and neither this Agreement nor any activity undertaken pursuant hereto shall prevent the Partners or any Affiliate of a Partner from engaging in any activity, or require the Partners or any Affiliate of a Partner to permit the Partnership or any Partner to participate therein.

Independent Activities. Subject to any other agreement among the parties, Partners and Affiliates of All Partners may, notwithstanding the existence of this Agreement, engage in whatever activities they choose choose, whether the same be competitive with the Partnership or otherwise, without having or incurring any obligation obligations to offer any interest in such activities to the Partnership or any Partner, and neither party hereto. Neither this Agreement nor any activity undertaken pursuant hereto shall prevent the Partners or any Affiliate of a General Partner from engaging as they intend to do in any activitythe exploration for and production of oil, gas and other minerals, individually, jointly with others, or require as a party of any other association to which the Partners General Partner is or any Affiliate of may become a Partner party, except to permit the Partnership or any Partner to participate thereinextent provided herein.
