Common use of Independence of the Administrator Clause in Contracts

Independence of the Administrator. For all purposes of this Agreement, the Administrator shall be an independent contractor and shall not be subject to the supervision of the Issuer, the Underlying Trust, the Underlying Trustee or the Owner Trustee with respect to the manner in which it accomplishes the performance of its obligations hereunder. Unless expressly authorized by the Issuer, the Administrator shall have no authority to act for or represent the Issuer, the Underlying Trust, the Underlying Trustee or the Owner Trustee in any way and shall not otherwise be deemed an agent of the Issuer, the Underlying Trust, the Underlying Trustee or the Owner Trustee.

Unless expressly authorized by the IssuerTrust, the Administrator shall have no authority to act for or represent the Issuer, the Underlying Trust, the Underlying Trustee Trust or the Owner Trustee (and, regardless of whether authorized by the Trust, the Administrator shall have no such authority at all with respect to the Indenture Trustee) in any way and shall not otherwise be deemed an agent of the Issuer, Trust or the Underlying Trust, the Underlying Owner Trustee or the Owner Indenture Trustee.

Unless expressly authorized by the Issuer, the Owner Trustee or the Grantor Trustee, the Administrator shall have no authority to act for or represent the Issuer, the Underlying Trust, the Underlying Owner Trustee or the Owner Trustee Grantor Trustee, respectively, in any way and shall not otherwise be deemed an agent of the Issuer, the Underlying Trust, the Underlying Grantor Trustee or the Owner Trustee.

For all purposes of this Administration Agreement, the Administrator shall be an independent contractor and shall not be subject to the supervision of the Issuer, the Underlying Trust, the Underlying Trustee Owner Trustee, the Ownership Certificateholder or the Owner Indenture Trustee with respect to the manner in which it accomplishes the performance of performs its obligations hereunder.
