Common use of Independence of the Administrator Clause in Contracts

Independence of the Administrator. For all purposes of this Agreement, the Administrator shall be an independent contractor and shall not be subject to the supervision of the Issuer, the Owner Trustee or the Indenture Trustee with respect to the manner in which it accomplishes the performance of its obligations hereunder. Unless expressly set forth herein or otherwise authorized by the Issuer, Owner Trustee or Indenture Trustee, the Administrator, as applicable, shall have no authority to act for or represent the Issuer, the Owner Trustee or the Indenture Trustee in any way and shall not otherwise be deemed an agent of the Issuer, the Owner Trustee or the Indenture Trustee.

Independence of the Administrator. For all purposes of this Agreement, the Administrator shall be an independent contractor and shall not be subject to the supervision of the Issuer, the Owner Trustee or the Indenture Trustee with respect to the manner in which it accomplishes the performance of its obligations hereunder. Unless expressly set forth herein or otherwise authorized by the Issuer, Owner Trustee or Indenture Trustee, the Administrator, as applicable, Administrator shall have no authority to act for or represent the Issuer or the Owner Trustee (and, regardless of whether authorized by the Issuer, the Owner Trustee or Administrator shall have no such authority at all with respect to the Indenture Trustee Trustee) in any way and shall not otherwise be deemed an agent of the Issuer, the Owner Trustee or the Indenture Trustee.

Unless expressly set forth herein or otherwise authorized by the Issuer, Owner Trustee or Indenture Trustee, the Administrator, as applicable, Administrator shall have no authority to act for or represent the Issuer, the Owner Trustee or the Owner Trustee (and, regardless of whether authorized by the Owner Trustee, the Administrator shall have no such authority at all with respect to the Indenture Trustee Trustee) in any way and shall not otherwise be deemed an agent of the IssuerOwner Trustee, the Owner Trustee or the Indenture Trustee.

Unless expressly set forth herein or otherwise authorized by the Issuer, Owner Trustee or Indenture TrusteeIssuing Entity, the Administrator, as applicable, Administrator shall have no authority to act for or represent the IssuerIssuing Entity, the Owner Trustee or the Indenture Trustee in any way and shall not otherwise be deemed an agent of the IssuerIssuing Entity, the Owner Trustee or the Indenture Trustee.

Unless expressly set forth herein or otherwise authorized by the Issuer, Owner Trustee Issuer or Indenture Trusteeas otherwise provided in the Transaction Documents, the Administrator, as applicable, Administrator shall have no authority to act for or represent the Issuer, the Owner Indenture Trustee or the Indenture Eligible Lender Trustee in any way and shall not otherwise be deemed an agent of the Issuer, the Owner Indenture Trustee or the Indenture Eligible Lender Trustee.

For all purposes of this Agreement, the Administrator shall be an independent contractor and shall not be subject to the supervision of the Issuer, the Owner Master Servicer, the Securities Administrator, the Indenture Trustee or the Indenture Owner Trustee with respect to the manner in which it accomplishes the performance of its obligations hereunder. Unless expressly set forth herein or otherwise authorized by the Issuer, Owner Trustee or Indenture Trusteethis Agreement, the AdministratorBasic Documents, as applicablethe Issuer or the Master Servicer, the Administrator shall have no authority to act for or represent the Issuer, the Owner Master Servicer, the Indenture Trustee or the Indenture Owner Trustee in any way and shall not otherwise be deemed an agent of the Issuer, the Owner Master Servicer, the Indenture Trustee or the Indenture Owner Trustee.

Unless expressly set forth herein or otherwise authorized by the Issuer, Owner the Indenture Trustee or Indenture the Owner Trustee, the Administrator, as applicable, Administrator shall have no authority to act for or represent the Issuer, the Owner Indenture Trustee or the Indenture Trustee Owner Trustee, respectively, in any way other than as specified hereunder and shall not otherwise be deemed an agent of the Issuer, the Owner Indenture Trustee or the Indenture Owner Trustee.
