Common use of Indemnified Person Clause in Contracts

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 Article 18 as a result of a claim by a third party, and the indemnifying Interconnection Indemnifying Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2Article 18.1, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Indemnifying Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 12 as a result of a claim by a third party, and the indemnifying Interconnection Party Constructing Entity fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 212.2, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Party Constructing Entity contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person indemnified person is entitled to indemnification under this Section 14 Article 18 as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2Article 18.1, to assume the defense of such claim, such Indemnified Person indemnified person may at the expense of the indemnifying Interconnection Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person indemnified person is entitled to indemnification under this Section 14 Article 9 as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2, Article 9.1 to assume the defense of such claim, such Indemnified Person indemnified person may at the expense of the indemnifying Interconnection Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 Article 18 as a result of a claim by a third party, and the indemnifying Interconnection Indemnifying Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2Article 18.1, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Indemnifying Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.claim.‌

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 section 5 as a result of a claim by a third party, and the indemnifying Interconnection Party party(ies) fails, after notice and reasonable opportunity to proceed under Section 14.2 section 5.2 of this Appendix 2, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Party party(ies) contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 Article 16 as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2, fails to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Party contest, settle or settle, consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 12 as a result of a claim by a third party, and the indemnifying Interconnection Party Constructing Entity fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 212.2, to assume the defense of such claim, such Indemnified Indemnifie d Person may at the expense of the indemnifying Interconnection Party Constructing Entity contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person indemnified person is entitled to indemnification under this Section 14 Article 18 as a result of a claim by a third party, and the indemnifying Interconnection Indemnifying Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2Article 18.1, to assume the defense of such claim, such Indemnified Person indemnified person may at the expense of the indemnifying Interconnection Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person indemnified person is entitled to indemnification under this Section 14 Article 24 as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2Article 24.1, to assume the defense of such claim, such Indemnified Person indemnified person may at the expense of the indemnifying Interconnection Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person indemnified person is entitled to indemnification under this Section 14 Article 9 as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2Article 9.1, to assume the defense of such claim, such Indemnified Person indemnified person may at the expense of the indemnifying Interconnection Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. ‌ If an Indemnified Person is entitled to indemnification under this Section 14 as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 15 as a result of a claim by a third party, and the indemnifying Interconnection Indemnifying Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 215.1.3, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Indemnifying Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 Article 23 as a result of a claim by a third party, and the indemnifying Interconnection Indemnifying Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2Article 23.1, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Indemnifying Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 64 as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 264.2, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 section 6 as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 section 6.2 of this Appendix 2, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Party contest, settle settle, or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 Article VIII as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 28.2, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person indemnified person is entitled to indemnification under this Section 14 Article 10 as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2Article 10.1, to assume the defense of such claim, such Indemnified Person indemnified person may at the expense of the indemnifying Interconnection Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 12 as a result of a claim by a third party, and the indemnifying Interconnection Party Constructing Entity fails, after notice and reasonable opportunity to proceed under this Section 14.2 of this Appendix 212.2, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Party Constructing Entity contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.

Indemnified Person. If an Indemnified Person is entitled to indemnification under this Section 14 64 as a result of a claim by a third party, and the indemnifying Interconnection Party fails, after notice and reasonable opportunity to proceed under Section 14.2 of this Appendix 2642, to assume the defense of such claim, such Indemnified Person may at the expense of the indemnifying Interconnection Party contest, settle or consent to the entry of any judgment with respect to, or pay in full, such claim.
