Common use of Indemnification of Employees and Agents Clause in Contracts

Indemnification of Employees and Agents. The Company, by adoption of a resolution of the Manager, may indemnify and advance expenses to any employees or agents of the Company who are not or were not Covered Persons but who are or were serving at the request of the Company as a manager, director, officer, partner, venturer, proprietor, trustee, employee, agent or similar functionary of another foreign or domestic limited liability company, corporation, partnership, joint venture, sole proprietorship, trust, employee benefit plan or other enterprise against liabilities and expenses asserted against such Person and incurred by such Person in such a capacity or arising out of their status as such a Person, to the same extent that it may indemnify and advance expenses to Covered Persons under this Article VII.

The Company, by adoption of a resolution of the Manager, Company may indemnify and advance expenses to any employees Person, as determined by the Member, by reason of the fact that such Person was an employee or agents agent of the Company who are not or were not Covered Persons but who are is or were was serving at the request of the Company as a manager, director, officer, partner, venturer, proprietor, trustee, employee, agent or similar functionary of another foreign or domestic limited liability company, corporation, partnership, joint venture, sole proprietorship, trust, employee benefit plan or other enterprise enterprise, against liabilities and expenses any liability asserted against such Person him or her and incurred by such Person him or her in such a capacity or arising out of their his or her status as such a Person, Person to the same extent that it may shall indemnify and advance expenses to Covered Persons Managers and officers under this Article VIIVIII.

The Company, by adoption of a resolution upon the written approval of the ManagerManagement Committee, may indemnify and advance expenses to any employees or agents of the Company who are not or were not Covered Persons Members of the Company but who are or were serving at the request of the Company as a manager, director, officer, partner, venturer, proprietor, trustee, employee, agent agent, Authorized Person or similar functionary of another foreign or domestic limited liability company, corporation, partnership, joint venture, sole proprietorship, trust, employee benefit plan or other enterprise against liabilities and expenses asserted against such Person and incurred by such Person in such a capacity or arising out of their status as such a Person, to the same extent that it may indemnify and advance expenses to Covered Persons Members under this Article VII8.

Indemnification of Employees and Agents. The Company, by adoption of a resolution of the Manager, Company may indemnify and advance expenses to any Persons who are entitled to indemnification under Section 8.1, including current and former employees (if any) or agents of the Company who are not or were not Covered Company, and those Persons but who are or were serving at the request of the Company as a manager, director, officer, partner, venturer, proprietormember, trustee, employeeemployee (if any), agent or similar functionary of another foreign or domestic limited liability companygeneral partnership, corporation, limited partnership, joint venture, sole proprietorshiplimited liability company, trust, employee benefit plan or other enterprise against liabilities and expenses any liability asserted against such Person and incurred by such Person in such a capacity or arising out of their such Person’s status as such a Person, Person to the same extent that it may indemnify and advance expenses to Covered Persons a Member under this Article VII8.
