Common use of Indemnification by the Custodian Clause in Contracts

Indemnification by the Custodian. The Custodian agrees to indemnify ACOLT and the Further Holders for any and all liabilities, obligations, losses, damages, payments, costs or expenses of any kind whatsoever that may be imposed on, incurred or asserted against ACOLT or any Further Holder as a result of any act or omission of the Custodian in any way relating to the maintenance and custody by the Custodian of the Lease Assets Files, provided, however, that the Custodian shall not be liable to ACOLT or any Further Holder, respectively, for any such amount resulting from the negligence, willful misfeasance or bad faith of ACOLT or such Further Holder, respectively.
