Common use of Indemnification by Reinsurer Clause in Contracts

Indemnification by Reinsurer. Reinsurer hereby indemnifies Cedent and its Affiliates and its and their respective officers, directors, employees, agents and representatives against, and agrees to hold each of them harmless from (a) Reinsured Liabilities, (b) Indemnified Liabilities, (c) any breach or nonfulfillment by Reinsurer of, or any failure by Reinsurer to perform, any of the terms or conditions of, or any duties or obligations under, this Quota Share Reinsurance Agreement and (c) any enforcement of this indemnity.

Indemnification by Reinsurer. Reinsurer hereby indemnifies Cedent and its Affiliates and its and their respective officers, directors, employees, agents and representatives against, against and agrees to hold each of them harmless from any and all Damages incurred or suffered by any of them arising out of or relating to (ai) Reinsured Liabilities, Liabilities (b) Indemnified Liabilities, (cii) any breach or nonfulfillment by Reinsurer of, or any failure by Reinsurer to perform, any of the terms or conditions of, or any duties or obligations under, this Quota Share Loss Portfolio Reinsurance Agreement Agreement, and (ciii) any enforcement of this indemnity.

Indemnification by Reinsurer. Reinsurer hereby indemnifies agrees to indemnify, defend and hold harmless Cedent and its Affiliates Representatives (the “Cedent Indemnified Persons”) from and against all losses, liabilities, claims, expenses (including reasonable attorneys’ fees and expenses) and damages incurred by Cedent and its and their respective officers, directors, employees, agents and representatives against, and agrees Representatives to hold each of them harmless the extent arising from (a) Reinsured Liabilities, (b) Indemnified Liabilities, (ci) any breach or nonfulfillment by Reinsurer of, or any failure by Reinsurer to perform, any of the terms covenants and agreements of Reinsurer contained in this Agreement, (ii) all Reinsurer Extra-Contractual Obligations or conditions of, or any duties or obligations under, this Quota Share Reinsurance Agreement and (ciii) any successful enforcement of this indemnity.
