Assignee will indemnify, defend and hold harmless Assignor and Assignor's employees, partners, directors, officers, affiliates, subsidiaries, shareholders, agents and representatives from any and all liabilities, claims, damages, costs or expenses (including reasonable attorneys' fees) arising under the Leases as a result of any obligations and duties of landlord thereunder arising on or after the Effective Date.
