Common use of Indemnification by Assignee Clause in Contracts

Indemnification by Assignee. Assignee agrees to indemnify and defend Assignor and hold Assignor harmless from and against any and all claims, demands, liabilities, damages, actions or causes of action, whether in law or in equity, arising out of the tenant’s obligations under the Lease on and after the date hereof, including (without limitation) the performance of all obligations required of the tenant thereunder. The foregoing shall include the payment of court costs, expenses, and reasonable attorneys’ fees incurred by the Assignor.

Indemnification by Assignee. Assignee hereby agrees to indemnify and defend Assignor and hold Assignor harmless from and against any and all losses, claims, demands, liabilities, or damages, actions or causes of action, whether in law or in equityincluding costs and reasonable attorney's fees, arising directly or indirectly, out of (i) any default under any of the tenant’s obligations under the Lease on and Contracts arising after the date hereofEffective Date, including and (without limitationii) the performance breach of all obligations required of the tenant thereunder. The foregoing shall include the payment of court costs, expenses, and reasonable attorneys’ fees incurred any obligation by the AssignorAssignee contained herein.

Indemnification by Assignee. Assignee hereby agrees to indemnify and defend Assignor and to hold Assignor harmless from and against any and all claimsloss, demandscost, liabilitiesliability, damagesdamage or expense, actions including, without limitation, reasonable attorneys' fees, originating or causes of action, whether in law or in equity, relating to the period following the Effective Date and arising out of or with respect to the tenant’s failure of Assignee to perform any of the obligations of the landlord under the Lease Leases accruing on and after the date hereof, including (without limitation) the performance of all obligations required of the tenant thereunder. The foregoing shall include the payment of court costs, expenses, and reasonable attorneys’ fees incurred by the AssignorEffective Date.

Indemnification by Assignee. Assignee hereby agrees to indemnify and defend Assignor and hold Assignor harmless from and against any and all claims, demands, liabilitiessuits and payments of any cost or expense, damagesincluding reasonable attorneys' fees, actions that Assignor shall suffer or causes incur as a result of action, whether in law or in equity, arising out of the tenant’s obligations Assignee's failure to perform under the Lease on Purchase Agreement, the HUD Commitment or Assumed Contracts from and after the date hereof, including (without limitation) the performance of all obligations required of the tenant thereunder. The foregoing shall include the payment of court costs, expenses, and reasonable attorneys’ fees incurred by the AssignorEffective Time.
