Incorporation and Status. Each of Borrower and its Subsidiaries is duly incorporated and organized, and is validly existing under its jurisdiction of organization. Each of Borrower and its Subsidiaries is duly registered, licensed or qualified as a foreign corporation, and is up to date in the filing of all corporate and similar returns under the laws of those jurisdictions where it operates and where failure to be so registered, licensed, qualified or up to date would have a Material Adverse Effect on it.
