Inconsistent or Conflicting Provisions. In the event a provision of the Senior Documents or the Subordinated Documents is inconsistent or conflicts with the provisions of this Agreement, the provisions of this Agreement shall govern and prevail.

Notwithstanding the foregoing, this Assignment and Assumption Agreement is executed pursuant to, and is subject to, the provisions of the Settlement Agreement, and nothing herein shall affect, expand, diminish or otherwise modify the representations, warranties, covenants or obligations of any of the parties thereunder. If a provision of this Assignment and Assumption Agreement is inconsistent or conflicts with the provisions of the Settlement Agreement, the provisions of the Settlement Agreement shall govern and prevail.

Notwithstanding the foregoing, this Xxxx of Sale is executed pursuant to, and is subject to, the provisions of the Settlement Agreement, and nothing herein shall affect, expand, diminish or otherwise modify the representations, warranties, covenants or obligations of any of the parties thereunder. If a provision of this Xxxx of Sale is inconsistent or conflicts with the provisions of the Settlement Agreement, the provisions of the Settlement Agreement shall govern and prevail. This Xxxx of Sale shall be binding upon Xxxxxx and Xxxxxx BV and their respective successors and assigns, for the uses and purposes set forth and referred to above, effective immediately upon its delivery to Metabolix.
