Common use of Incentive Bonus Clause in Contracts

Incentive Bonus. During the Employment Term, the Executive shall be eligible to receive an incentive performance bonus of up to 75% of the Salary (the “Target Bonus”) in accordance with the Company’s executive bonus plan then in effect, as determined by the Compensation Committee at the end of the applicable fiscal year in its sole discretion. The incentive bonus, if any, shall be paid in accordance with Company policy, but in no event later than March 15th of the year following the year in which the Executive earned such bonus.

Incentive Bonus. During the Employment Term, the Executive shall be eligible to receive participate in an incentive annual bonus program adopted by the Compensation Committee, which will provide Executive with the opportunity to earn a cash bonus based on performance bonus of up to 75% of the Salary (the “Target Incentive Bonus”) in accordance with the Company’s executive bonus plan then in effect, as determined by the Compensation Committee at the end of the applicable fiscal year in its sole discretion). During Executive shall have the Employment Termopportunity to participate in the Company’s incentive bonus programs, targeted at 40% of annual base salary for 100% target achievement. For the Company’s Fiscal Year 2005, Employee’s incentive bonus shall be paid at the 100% achievement level, to be paid no later than December 31, 2004. For subsequent periods, the Executive amount of any such bonus shall be eligible to receive an incentive performance bonus of up to 75% determined by the Board or the Compensation and Human Resources Committee of the Salary (the “Target Bonus”) Board in accordance its sole discretion, consistent with the Company’s executive performance, the Employee’s contribution to the Company’s performance and the provisions of any applicable incentive bonus plan then in effect, as determined by the Compensation Committee at the end of the applicable fiscal year in its sole discretion.
