Incentive Bonus Pool. Executive will be eligible to participate in any incentive bonus pool maintained for persons including executive officers of the Company. The Executive will be eligible to receive an annual bonus as per the incentive bonus pool of up to 100% of the then applicable Annual Base Salary, less applicable withholding taxes.

If Parent determines to pay an Installment in shares of Parent Common Stock, the number of shares to be issued shall be determined by dividing the dollar amount to be paid to Company Employees in Parent Common Stock by the average of the closing prices of Parent Common Stock as reported on the Nasdaq National Market during the five (5) trading days ending two (2) days prior to the date of issuance. Incentive Bonus Pool. In addition to all compensation and other sums to be paid under this Agreement, Executive shall be eligible to receive no less than fifteen percent (15%) of an incentive bonus pool to be created by Company. Executive’s rights and obligations with respect to such incentive bonus pool will be identical in all respects to the rights and obligations of the Company’s Chief Executive Officer and President with respect to such incentive bonus pool, except that the Company’s Chief Executive Officer and President shall be eligible to receive a greater percentage of the incentive bonus pool.
