Inaccurate or Incomplete Information. Dell Technologies and each member of the Dell Technologies Group shall jointly and severally indemnify VMware, each VMware Affiliate, and their respective directors, officers and employees, and hold them harmless from and against any cost, fine, penalty, or other expense of any kind attributable to the failure of Dell Technologies or any Dell Technologies Affiliate in supplying VMware or any VMware Affiliate with inaccurate or incomplete information, in connection with the preparation of any Tax Return. VMware and each member of the VMware Group shall jointly and severally indemnify Dell Technologies, each Dell Technologies Affiliate, and their respective directors, officers and employees, and hold them harmless from and against any cost, fine, penalty, or other expenses of any kind attributable to the failure of VMware or any VMware Affiliate in supplying Dell Technologies or any Dell Technologies Affiliate with inaccurate or incomplete information, in connection with the preparation of any Tax Return.

JDSU and each member of the JDSU Group shall jointly and severally indemnify Holdings, each Holdings Affiliate, and their respective directors, officers and employees, and hold them harmless from and against any cost, fine, penalty, or other expense of any kind attributable to the failure of JDSU or any JDSU Affiliate in supplying Holdings or any Holdings Affiliate with inaccurate or incomplete information, in connection with the preparation of any Tax Return. Holdings and each member of the Holdings Group shall jointly and severally indemnify JDSU, each JDSU Affiliate, and their respective directors, officers and employees, and hold them harmless from and against any cost, fine, penalty, or other expenses of any kind attributable to the failure of Holdings or any Holdings Affiliate in supplying JDSU or any JDSU Affiliate with inaccurate or incomplete information, in connection with the preparation of any Tax Return.

Continental and each Continental Affiliate shall jointly and severally indemnify Holdings, each Holdings Affiliate and each of their respective Representatives, and hold them harmless from and against any net Taxes or net Losses attributable to Continental or any Continental Affiliate supplying Holdings or any Holdings Affiliate with inaccurate or incomplete information, in connection with the preparation of any Tax Return, any Proceeding, or any calculation under this Agreement. Holdings and each Holdings Affiliate shall jointly and severally indemnify Continental, each Continental Affiliate and their respective Representatives, and hold them harmless from and against any net Taxes or net Losses attributable to Holdings or any Holdings Affiliate supplying Continental or any Continental Affiliate with inaccurate or incomplete information, in connection with the preparation of any Tax Return, any Proceeding or any calculation under this Agreement.

The ALLETE Group shall jointly and severally indemnify ADESA, each ADESA Affiliate, and their respective directors, officers and employees, and hold them harmless from and against any loss, cost, fine, penalty, damage or other expense of any kind, excluding any consequential, special, punitive or exemplary damages, that is attributable to the negligence of ALLETE or any ALLETE Affiliate in supplying ADESA or any ADESA Affiliate with inaccurate or incomplete information, in connection with the preparation of any Income Tax Return (other than with respect to any foreign ADESA Affiliate). The ADESA Group shall jointly and severally indemnify ALLETE, each ALLETE Affiliate, and their respective directors, officers and employees, and hold them harmless from and against any loss, cost, fine, penalty, damage or other expense, excluding any consequential, special, punitive or exemplary damages, that is attributable to the negligence of ADESA or any ADESA Affiliate in supplying ALLETE or any ALLETE Affiliate with inaccurate or incomplete information, in connection with the preparation of any Income Tax Return.

Spectra Energy and each Spectra Energy Affiliate (other than the Excluded Spectra Energy Affiliates) shall jointly and severally indemnify Duke Energy, each Duke Energy Affiliate, and their respective directors, officers and employees, and hold them harmless from and against any cost, fine, penalty, or other expenses of any kind attributable to the failure of Spectra Energy or any Spectra Energy Affiliate to supply Duke Energy or any Duke Energy Affiliate with accurate and complete information in connection with the preparation of any Tax Return.

Geo Point Utah shall jointly and severally indemnify Geo Point Nevada, and its respective directors, officers and employees, and hold them harmless from and against any cost, fine, penalty or other expense of any kind attributable to the failure of Geo Point Utah in supplying Geo Point Nevada with inaccurate or incomplete information, in connection with the preparation of any Tax Return. Geo Point Nevada shall jointly and severally indemnify Geo Point Utah, and its respective directors, officers and employees, and hold them harmless from and against any cost, fine, penalty, or other expenses of any kind attributable to the failure of Geo Point Nevada in supplying Geo Point Utah with inaccurate or incomplete information, in connection with the preparation of any Tax Return.

Reuters and each Reuters Affiliate shall jointly and severally indemnify Instinet, each Instinet Affiliate and their respective directors, officers and employees, and hold them harmless from and against any Tax or Loss attributable to the negligence of Reuters or any Reuters Affiliate in supplying Instinet or any Instinet Affiliate with inaccurate or incomplete information, in connection with the preparation of any Tax Return or any Audit. Instinet and each Instinet Affiliate shall jointly and severally indemnify Reuters, each Reuters Affiliate and their respective directors, officers and employees, and hold them harmless from and against any Tax or Loss attributable to the negligence of Instinet or any Instinet Affiliate in supplying Reuters or any Reuters Affiliate with inaccurate or incomplete information, in connection with the preparation of any Tax Return or any Audit.

SCL and each SCL Affiliate shall jointly and severally indemnify XXXX, each XXXX Affiliate and their respective directors, officers and employees, and hold them harmless from and against any Tax or Loss attributable to the negligence of SCL or any SCL Affiliate in supplying XXXX or any XXXX Affiliate with inaccurate or incomplete information, in connection with the preparation of any Tax Return or any Audit. XXXX and each XXXX Affiliate shall jointly and severally indemnify SCL, each SCL Affiliate and their respective directors, officers and employees, and hold them harmless from and against any Tax or Loss attributable to the negligence of XXXX or any XXXX Affiliate in supplying SCL or any SCL Affiliate with inaccurate or incomplete information, in connection with the preparation of any Tax Return or any Audit.

Centex and each Centex Affiliate shall jointly and severally indemnify Cavco and their respective directors, officers and employees, and hold them harmless from and against any cost, fine, penalty, or other expense of any kind attributable to the negligence of Centex or any Centex Affiliate in supplying Cavco with inaccurate or incomplete information, in connection with the preparation of any Tax Return. Cavco shall indemnify Centex, each Centex Affiliate and their respective directors, officers and employees, and hold them harmless from and against any cost, fine, penalty, or other expenses of any kind attributable to the negligence of Cavco in supplying Centex or any Centex Affiliate with inaccurate or incomplete information, in connection with the preparation of any Tax Return.
