Import and Export Laws. All products, Services and technical data delivered under this Agreement are subject to U.S. export control laws and may be subject to export or import regulations in other countries. Reseller agrees to comply strictly with all such laws and regulations and acknowledges that it has the responsibility to obtain such licenses to export, re-export or import as may be required after delivery to Reseller.

The parties agree to comply strictly with all such regulations and acknowledge that they have the responsibility to obtain such licenses to export, re-export or import the Licensed Technology as may be required.
Import and Export Laws. (a) The Parties acknowledge and agree that all activities hereunder, including the export, re-export, import, transshipment, transfer, release, delivery, or pickup of all Goods, as well as any software and technology provided to Provider by Customer or on behalf of Customer (“Software and Technology”), are subject to all applicable U.S. and non-U.S. laws, including any statutes, executive orders, regulations, governmental agency decisions, judicial decisions, or any other written decrees that have the force and effect of law in the country in question (collectively defined as “Laws” for purposes of this Section 18) governing the import and export of Goods, Software, and Technology, including laws concerning exports and economic sanctions, and customs Laws, (collectively, “Import and Export Laws”).

Import and Export Laws. 15.1 Vendor represents and warrants that it shall comply with all applicable Export/Import Laws and Sanctions. Vendor shall obtain in a timely manner and at its own expense, all licences, authorizations, consents or permits required by Export/Import Laws and Sanctions for the import and export of Goods and/or the provision of Services supplied under the Order.

You are responsible for the expenses of such compliance and/or for obtaining any authorizations or clearances required to convey your Product to Clover Wireless. Please note: U.S. Trade sanctions administered by the Office of Foreign Assets Control (OFAC) generally prohibit the importation into the United States (including U.S. territories), either directly or indirectly, of most goods, technology, or services (except information and information materials) from, or which originated from Cuba, Iran, Iraq, Libya, North Korea, Serbia, or Sudan; from foreign persons designated by the Secretary of State as having promoted the proliferation of weapons of mass destruction; named Foreign Terrorists Organizations; designated terrorists and narcotics traffickers. You may not offer or provide to the Company for recycling, donation of for sale, any Products that would violate the provisions of this Section.
Import and Export Laws. Customer agrees that the Services and ASI Confidential Information delivered under the Agreement may be subject to U.S. export laws and applicable laws of other countries. Customer agrees to strictly comply with all such laws and assumes responsibility to obtain licenses to export, re-export, or import as may be required.

You agree to comply fully with all import and export laws, regulations, rules and orders of the United States, or any government agency or authority, and that you will not directly or indirectly transfer any Device without authorization. You bear responsibility for and assume all expenses relating to your compliance with governing laws, regulations, rules and orders, and for obtaining all necessary authorizations and clearances in order to convey any Device to Trademore in connection with a sale, including without limitation, valuation, classification and duties applicable with the import of any goods. Note: United States trade sanctions administered by the Office of Foreign Assets Control (“OFAC”) generally prohibit the importation into the United States (including United States territories), either directly or indirectly, of most goods, technology or services from, or which originated from, Crimea, Cuba, Iran, North Korea, or Syria; or from persons designated on restricted parties lists administered by OFAC. In addition, under United States export regulations there are restrictions on exports of items to these destinations, and to Sudan, and to restricted parties designated by OFAC or designated on restricted parties lists administered by the Departments of State and Commerce. You may not offer or provide to Trademore, any Device that would violate the provisions of this Section 13.
Import and Export Laws. We will comply with all customs, import and export laws and regulations of the United States and other countries. We will pay all required duties, tariffs and similar taxes, obtain all required licenses and permits and provide all customs documentation, country-of-origin markings and valuation declarations required for the international movement of products and materials. Before engaging in exporting activity, we must obtain a valid export license and verify the eligibility of the recipient. U.S. laws restrict the sale of certain military technology and products originating in the U.S. Additionally, U.S. laws prohibit dealing with certain designated parties and countries. The Legal Group maintains a list of embargoed countries that will be available on the Company intranet or upon request. Consult the Legal Group if you have questions about the status of any party before committing to a transaction or doing business with parties in any country in which the Company does not regularly do business. Moreover, if you have any questions about export restrictions, or notice any “red-flags” in any transactions, such as unusual routing requests for product shipments, unusual payment instructions, currencies or languages not matching the parties involved, or inconsistencies in order or ship to names, consult with the Legal Group before proceeding. Note: U.S. employees and companies may not facilitate or encourage a non-U.S. employee or company to perform a transaction that we would not be permitted to perform directly. Antiboycott Laws U.S. laws and regulations prohibit the Company from refusing or agreeing to refuse to do business with certain countries, nations or people that are boycotted by any other nation, group or people (see, e.g., the Arab League boycott of Israel). The Company is also prohibited from refusing or agreeing to refuse to do business with any company or individual who has transacted business with a boycotted person or country. You must never provide information, statements, certificates or communications that would violate these anti-boycott regulations or execute any agreement that includes a boycott commitment. You must immediately report any boycott request you receive to the Legal Group. We are obligated by law in certain circumstances to report any such boycott requests – simply ignoring the request may not be legally sufficient.
