Hotel Operations. Lessee covenants to operate the Facility as a "full service hotel". A full service hotel is a hotel that operates a restaurant and meeting facilities and may have some or all of the following: conference facilities, banquet space, lounge areas, gift shops, recreational facilities (including swimming pool), and guest services (including room service, valet service and laundry). If, during the Term, Lessee desires to provide food and beverage operations at the Facility (other than those that are presently provided at the Facility and complimentary continental breakfast) or to discontinue any such operations which are presently provided (any such action, a "Change in Operations"), Lessee shall give notice of such desire to Lessor. Lessor and Lessee shall then commence negotiations to adjust Rent to reflect the proposed change to the operation of the Facility, each acting reasonably and in good faith. All other terms of this Lease will remain substantially the same. During negotiations, which shall not extend beyond 60 days, Lessee shall not implement the proposed Change in Operations and shall continue fulfilling its obligations under the existing terms of this Lease. If no agreement is reached after such 60-day period, (i) if Lessee in its reasonable judgment believes the failure to accomplish the proposed Change in Operations will have an adverse economic impact on Lessee's operation of the Facility, Lessee may submit the adjustment to Rent to arbitration in accordance with Section 40.1, otherwise, (ii) Lessee shall withdraw such notice and shall not be entitled to implement the proposed Change in Operations, and this Lease shall continue in full force. Lessee further covenants and agrees that, without Lessor's consent (which consent shall not be unreasonably withheld), Lessee will not voluntarily terminate any management agreement with Manager by agreement with Manager or pursuant to a right therein to so terminate.
Hotel Operations. Hotel operations shall be under the exclusivesupervision and control of Operator which, except as otherwise specifically provided in this Agreement, shall be responsible for the proper and efficient operation of the Hotel in accordance with the terms of this Agreement. Except as specifically hereinafter set forth, Operator shall have discretion and control in all matters relating to management and operation of the Hotel, including, without limitation, charges for rooms and commercial space, credit policies, food and beverage services, other Hotel services, employment policies, granting of concessions or leasing of shops and agencies within the Hotel, receipt, holding and disbursement of funds, maintenance of bank accounts, procurement of inventories, supplies and services, promotion and publicity and, in general, all activities necessary for operation of the Hotel. Unless Owner agrees, the Hotel shall be operated as a Union hotel. Without limiting the generality of the foregoing, Operator’s engagement under this Agreement shall include the responsibility and authority (subject to the limitations on Operator’s authority set forth in this Agreement), on behalf of and at the expense of Owner to do the following, at all times in material compliance with the AnnualFinancial Plan, the Franchise Agreement, Mortgage, if any, Legal Requirements and the First Class Hotel Standard:

Hotel Operations. (a) Lessor acknowledges that it has approved the Hotel Operating Agreements, as the same are in effect on the Term Commencement Date. No material modification of or amendment to such Hotel Operating Agreements shall be effective unless and until such modification or amendment has been approved by Lessor, which approval shall not be unreasonably withheld or delayed. In addition, Lessee shall not enter into any new or replacement Management Agreement, or enter into or permit the Operator or any Affiliate thereof to enter into a new or replacement Food and Beverage Agreement, without the prior written approval of Lessor as and to the extent provided in Section 9 of this Lease.
(b) Subject to the provisions of Sections 11.5(h) and 17, Lessee shall take all actions reasonably required to ensure that all operations at the Hotel, including all guest and meeting room facilities, all restaurant and bar premises, mini-bar facilities, and any other areas in which alcoholic or other beverages and/or food will be served or made available to guests and customers of the Hotel (including room service and banquet facilities), will be fully serviceable and in full operation on and following the Term Commencement Date. In addition, except to the extent provided below or as Lessor may hereafter agree otherwise in writing, all contracts and agreements for or relating to the provision of goods or services to or for the Hotel (i) shall not be binding upon or enforceable against Lessor, (ii) shall be fully subordinate to the rights and interests of Lessor under this Lease, and (iii) except as otherwise expressly provided in Section 8.1, Section 8.2(b), Section 9.2, or Section 14.2(h) hereof, shall terminate and be of no further force or effect on the Termination Date; provided that the foregoing requirements shall not apply with respect to (A) any such contracts or agreements that are entered into with a Person who is not an Affiliate of Lessee, the Operator, or any Food and Beverage Operator, where the contract or agreement is terminable at the election of the Lessee, the Operator, or any Food and Beverage Operator, upon not more than sixty (60) days notice and without the payment of any fee, penalty or other consideration on account of such termination, and (B) any such contracts or agreements that were in effect and actually known to the Purchaser on the Approval Date (as such term is defined in the Purchase Agreement).

Hotel Operations. The operation of the Hotel Complex shall comply with all criteria established in the City Regulations, subject to any amendments or Variances thereto reasonably approved by the City. Developer shall construct, and Owner shall continuously maintain and operate the Hotel in accordance with the standards in the Franchise Agreement and City Regulations.

Hotel Operations. (a) Until the Designated Hotel Closing Date (as such term is defined in Subsection 4.1(a) above), Sonesta or its Affiliate shall operate the Hotel pursuant to the terms of the Interim Lease. In so operating the Hotel, Sonesta covenants and agrees not to enter into any agreements which are not either terminable at will or which cannot be terminated on thirty (30) days notice without the prior written consent of the General Partner. Furthermore, from and of the date of delivery of the Cessation Notice, Sonesta shall not enter into any Contracts without the prior written consent of the General Partner.
(b) The salient terms of the Interim Lease shall include, but not be limited to, the following:
1. The Hotel Manager shall be responsible for conducting all of the Hotel operations during the Interim Hotel Operating Period. In no event may Sonesta or the Hotel Manager be permitted or authorized to allow any lien or encumbrance of any nature whatsoever to be placed on the Property, the Hotel or Sonesta's Partnership Interest, other than those imposed in respect of real estate taxes without the prior written consent of the Fortune GP.
2. One hundred percent (100%) of all revenues and one hundred percent (100%) of all expenses incurred by or with respect to the Hotel and the Property during the Interim Hotel Operating Period other than the expenses incurred in connection with the Pre-Development Activities shall accrue to the benefit and/or detriment of Sonesta (and/or the Hotel Manager). Neither the Fortune Partners nor the Partnership shall be entitled to the benefit of any revenue generated by the Hotel or bear any of the expenses incurred by or with respect to the Hotel during the Pre-Development Period. The expenses to be paid by Sonesta and/or the Hotel Manager shall include but not be limited to all accounts payable existing on the Effective Date, all employee costs and claims, the costs of all food, linens, dishes, glasses and all other inventory items, real estate, personal property, ad valorem, occupancy and sales taxes, utility, phone, cable, television, gas, water, sewer and electricity, all costs of litigation involving or attributable to the Hotel operations, insurance premiums, municipal or other governmental improvements liens and special assessments (but only such portion payable through the Cessation Date), license and permit fees, and all other revenues and expenses of the Property, including, but not limited to, such things as restaurant, bar a...
