HOSTING FACILITY. Licensor will operate and maintain the Hosting facility via Web-based controlled panels provided by Amazon. Such operation and maintenance will include, without limitation, the acquisition, installation, maintenance, upgrading, monitoring and all aspects of the operation of all servers, databases and software instances and all services related thereto. Any problem with the Hosting Facility itself may fall out of the control of Licensor. In such cases, Licensor will work directly with representatives from the Hosting Facility to ensure a prompt resolution of the problem in accordance with the terms of a separate service agreement between Licensor and Hosting Facility.

HOSTING FACILITY. ICG will maintain the Service Infrastructure at a Hosting Facility with (i) primary and backup power; (ii) primary and backup HVAC; and (iii) administrative, physical and technical security. ICG may relocate the Service Infrastructure to a different Hosting Facility at any time without prior notice to Client in the event of a disaster or otherwise as reasonably necessary to maintain or enhance availability and performance of the Service.

HOSTING FACILITY. 3.1. The hosting equipment will be installed in SmartCitizen’s hosting facility designed for such use. The facility will be equipped with access security, climate control, and managed power supply with UPS. Generator backup is not included in the basic hosting service. It is anticipated that by the end of 2022, all on prem database hosting facilities will have been migrated to Microsoft’s UK South Data Centre.
HOSTING FACILITY. From the Commencement Date MKGI will provide its Hosting Service using Co-location hosting facilities provided by Melbourne Hosting in the UK, Server Central in the USA and Xxxxxx in Canada, in which the servers are located. Access to the servers is limited to MKGI’s employees only. Staff at the Hosting Centers have no login access. The sites are professional hosting facilities and as such incorporate high speed, redundant internet connectivity, on site power backup facilities, fire control systems and physical security. The servers each have redundant disks and network connectivity. All US mainland Customers are having their Hosting Service provided on the USA Mainland based servers. Customers in other countries may be located either in the UK, Canada or the USA. MKGI reserves the right to change the Co-location hosting facilities at their discretion to any equivalent or better facilities notwithstanding that all US based customers will remain on US based servers at all times. Server Failure At a higher level, the servers themselves are configured in such a way that the Hosting Service could rapidly be made operational again in the event of catastrophic failure of one of the machines.   • Generating Facility The Interconnection Customer’s device for the production of electricity identified in the Interconnection Request, but shall not include the Interconnection Customer’s Interconnection Facilities.

  • Existing Facilities Each of the Existing Facilities shall be repaid in full and terminated and all collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.

  • Network Facilities At the time of termination, the Transmission Provider and the Interconnected Entities shall keep in place any portion of the Interconnection Facilities that the Transmission Provider deems necessary for the safety, integrity and/or reliability of the Transmission System. Otherwise, Transmission Provider may, in its discretion, within 30 days following termination of Interconnection Service, require the removal of all or any part of the Interconnection Facilities.

  • TEACHING FACILITIES 4.1 The Board agrees to maintain health and safety conditions at each school site in compliance with applicable statutes and/or regulations. Teachers shall not be required to work under unsafe conditions as determined by proper regulatory authority.

  • Laundry Facilities SF State University assumes no responsibility in the use of laundry equipment or for lost items.

  • Parking Facilities Alamo Colleges District shall make the existing parking facilities at the rented Facility available for the vehicular traffic and parking necessitated by the Organization’s Use of the rented Facility, on a non-exclusive basis, as specified at Exhibit A. MAXIMUM CAPACITY. Organization anticipates approximately the number of participants stated at Exhibit A and agrees to inform Alamo Colleges District of any significant changes five (5) business days in advance of a Use. Organization shall not admit a larger number of persons than can safely and freely move about the Facility. Alamo Colleges District shall notify Organization of the recommended capacity of the Facility and all decisions of Alamo Colleges District concerning questions arising under this Paragraph shall be final.

  • System Upgrade Facilities Transmission Owner shall design, procure, construct, install, and own the System Upgrade Facilities described in Appendix A hereto. The responsibility of the Developer for costs related to System Upgrade Facilities shall be determined in accordance with the provisions of Attachment S to the NYISO OATT.

  • Trading Facilities Most open-outcry and electronic trading facilities are supported by computer-based component systems for the order-routing, execution, matching, registration or clearing of trades. As with all facilities and systems, they are vulnerable to temporary disruption or failure. Your ability to recover certain losses may be subject to limits on liability imposed by the system provider, the market, the clearing house and/or member firms. Such limits may vary; you should ask the firm with which you deal for details in this respect.

  • Hosting 46.7.4.1 At CLEC’s request, SBC-SWBT and SBC-AMERITECH shall perform hosting responsibilities for the provision of billable message data and/or access usage data received from CLEC for distribution to the appropriate billing and/or processing location or for delivery to CLEC of such data via SBC-SWBT’s and SBC-AMERITECH’s internal network or the nationwide CMDS network pursuant to the applicable Appendix HOST, which is/are attached hereto and incorporated herein by reference.

  • Facility Prudential is willing to consider, in its sole discretion and within limits which may be authorized for purchase by Prudential Affiliates from time to time, the purchase of Shelf Notes pursuant to this Agreement. The willingness of Prudential to consider such purchase of Shelf Notes is herein called the “Facility”. At any time, the aggregate principal amount of Shelf Notes stated in Section 1.2, minus the aggregate principal amount of Shelf Notes purchased and sold pursuant to this Agreement prior to such time, minus the aggregate principal amount of Accepted Notes (as hereinafter defined) which have not yet been purchased and sold hereunder prior to such time, is herein called the “Available Facility Amount” at such time. NOTWITHSTANDING THE WILLINGNESS OF PRUDENTIAL TO CONSIDER PURCHASES OF SHELF NOTES BY PRUDENTIAL AFFILIATES, THIS AGREEMENT IS ENTERED INTO ON THE EXPRESS UNDERSTANDING THAT NEITHER PRUDENTIAL NOR ANY PRUDENTIAL AFFILIATE SHALL BE OBLIGATED TO MAKE OR ACCEPT OFFERS TO PURCHASE SHELF NOTES, OR TO QUOTE RATES, SPREADS OR OTHER TERMS WITH RESPECT TO SPECIFIC PURCHASES OF SHELF NOTES, AND THE FACILITY SHALL IN NO WAY BE CONSTRUED AS A COMMITMENT BY PRUDENTIAL OR ANY PRUDENTIAL AFFILIATE.
