Health and Safety Laws and Regulations. The Contractor shall prepare a Health and Safety Plan (H&SP) in compliance with all local, municipal, state, and federal health and safety laws, orders, and regulations applicable to Contractor’s operations in the performance of the Scope of Work hereunder. While on the premises of the County, Contractor and Contractor’s employees, Subcontractors, and agents shall comply with the requirements of the Occupational Safety and Health Act and any State approved plan, and the regulations there under, to the extent applicable and shall ensure that all Contractor’s employees, Subcontractors, and agents have a safe place of work on the premises of the County. Any Claims by Contractor for adjustments in time and/or cost for delays in the start of work due to Contractor’s failure to deliver an H&SP acceptable to the County will not be considered. The Contractor shall be solely and completely responsible for conditions on the job site, including safety of all persons and property during the performance of the work. The County’s acceptance of Contractor’s H&SP does not, in any way, relieve or transfer any such responsibilities to the County.

In performing its -------------------------------------- obligations under this Agreement, Nipro shall comply fully with any and all applicable health and safety laws and regulations of the Territory as they relate to the FreeStyle Products. In addition, Nipro shall monitor the appropriate information sources closely for changes in such laws and regulations, and other requirements in the Territory relating to the distribution of the FreeStyle Products in the Territory, and notify TheraSense promptly in writing of any and all such changes.

Disetronic shall comply -------------------------------------- fully with any and all laws and regulations of the FreeStyle Territory applicable to distributors, as such laws relate to the FreeStyle Products. Notwithstanding the foregoing, for any country in which a national European registration for Freestyle Products is in Disetronic's name, Disetronic shall comply fully with any and all laws and regulations applicable to such registrant in such country. In addition, until such time as TheraSense obtains a CE Xxxx for FreeStyle Products, Disetronic shall monitor the appropriate information sources closely for changes in such laws and regulations, and other requirements in the European Territory relating to the distribution of the FreeStyle Products in the European Territory, and shall use its best efforts to notify TheraSense promptly in writing of any and all such changes.

Any claims by Contractor for adjustments in time and/or cost for delays in the start of work due to contractor’s failure to deliver an H&SP acceptable to the County will not be considered. The Contractor shall be solely and completely responsible for conditions on the job site, including safety of all persons and property during the performance of the work. The County’s acceptance of Contractor’s H&SP does not, in any way, relieve or transfer any such responsibilities to the County.

Both parties shall monitor the appropriate information sources closely for changes in laws and regulations, and other requirements relating to the R2 Product or the VTAL Workstation, and shall notify the other party promptly in writing of any and all such changes of which it becomes aware. If R2 is required by any regulatory agency to recall the R2 Product, or if R2 or a regulatory authority initiates a recall of the R2 Product, VTAL shall cooperate with and assist R2 in locating, and retrieving if necessary, recalled R2 Products from Customers. VTAL shall be responsible for maintaining all records of its sales to Customers in the event of a recall or other quality related issue. R2 shall bear the costs of all recalls of the R2 Product. VTAL shall bear the costs of all recalls of the VTAL Workstation.

While on the premises of COUNTY, CONTRACTOR and CONTRACTOR'S employees, Subcontractors, and agents shall comply with applicable requirements of the Occupational Safety and Health Act and any State-approved plan, and the regulations there under, to the extent applicable and shall ensure that all CONTRACTOR'S employees, Subcontractors, and agents have a safe place of work on the premises of COUNTY. The H&SP shall be submitted to COUNTY within ten (10) calendar days after the award of the Contract. The Notice to Proceed (NTP) with construction under this Agreement will be contingent upon receipt of an H&SP acceptable to COUNTY'S OC Waste & Recycling Safety Officer or designee. Refer to Health and Safety Plan Checklist, of the General Conditions. It is COUNTY'S intention to return its comments within ten (10) calendar days after receipt of the H&SP. Refer to the Agreement as to COUNTY'S intent with regard to issuance of the NTP. Any claims by CONTRACTOR for adjustments in time and/or cost for delays in processing the NTP due to CONTRACTOR'S failure to deliver an H&SP acceptable to COUNTY will not be considered. CONTRACTOR shall be solely and completely responsible for conditions including safety of all persons and property during the performance of the work. COUNTY'S acceptance/concurrence of CONTRACTOR'S H&SP does not relieve or transfer any such responsibilities to COUNTY.

If R2 is required by any regulatory agency to recall the R2 Lung CAD Product, or if R2 or a regulatory authority initiates a recall of the R2 Lung CAD Product, Vital shall cooperate with and assist R2 in locating, and retrieving if necessary, recalled R2 Lung CAD Products from Customers.
