Handover Protocol. The Parties will sign the Handover Protocol after: the Parties prepare a record of the completed Pilot Operation and Penetration Test (if relevant) the Customer checks and confirms the completeness of the updated Documents and the Contractor fulfils the obligation pursuant to sub. 5.5.5. hereof, if applicable. The Handover Protocol will contain a list of the remaining Defects and security issues detected during the Penetration Test with the time period set for removal thereof; in the absence of a written agreement about this time period for defect removal, the time period is assumed to be 14 (fourteen) Business Days from the day of signing of the Handover Protocol.

Handover Protocol. Transfer of ownership rights A handover protocol signed by both parties will be drawn up for the handover and acceptance of the subject of purchase. In the case that the subject of purchase will show minor defects or unfinished work, which, however, will not prevent the proper use of the subject of purchase, and if the buyer does not use his right not to take over the subject of performance according to Article IV. paragraph 3 of this contract, the handover protocol and acceptance of the subject of performance will contain a list of detected defects and unfinished work, including the method of their elimination with the period (the length of the period determined by the buyer). When signing the handover protocol by the contracting parties, the ownership right to the subject of purchase passes from the seller to the buyer. The seller bears the risk of damage to the subject of performance until the transfer of ownership to the buyer. The persons referred to in Article VI are authorized to sign the handover protocol. The Buyer is entitled to refuse to accept the subject of purchase if it does not have the properties required by the Buyer in this contract and its annexes. The buyer is not obliged to take over the object of purchase having any defect or unfinished work, even if they alone (or in conjunction with others) do not prevent the proper use of the object of purchase. In such a case, the buyer shall issue the seller a record of non-acceptance of the subject of purchase together with the reasons for non-acceptance.

  • Communications Protocol The Parties agree to be bound by the terms and conditions of the communications protocol provided for in Schedule “G” (Communications Protocol).

  • Protocols Each party hereby agrees that the inclusion of additional protocols may be required to make this Agreement specific. All such protocols shall be negotiated, determined and agreed upon by both parties hereto.

  • Technical Standards Applicable to a Wind Generating Plant i. Low Voltage Ride-Through (LVRT) Capability A wind generating plant shall be able to remain online during voltage disturbances up to the time periods and associated voltage levels set forth in the standard below. The LVRT standard provides for a transition period standard and a post-transition period standard.

  • Technical Specifications The Technical Specifications furnished on the CD are intended to establish the standards for quality, performance and technical requirements for all labor, workmanship, material, methods and equipment necessary to complete the Work. When specifications and drawings are provided or referenced by the County, these are to be considered part of the Scope of Work, and to be specifically documented in the Detailed Scope of Work. For convenience, the County supplied specifications, if any, and the Technical Specifications furnished on the CD.

  • Web Hosting If Customer submits a Service Order(s) for web hosting services, the following terms shall also apply:

  • Authorized User Overview and Mini-Bid Process Project Based IT Consulting Services Contracts enable Authorized Users to use a competitive Mini-bid Process to acquire Services on an as-needed basis, for qualified IT Projects. Project Based IT Consulting Services may include, but will not be limited to projects requiring: analysis, data classification, design, development, testing, quality assurance, security and associated training for Information Technology based applications. See section 1.3 Out of Scope Work for a listing of projects expressly excluded from the scope of this Contract. An Authorized User Agreement for Project Based IT Consulting Services will be governed first by the terms and conditions specified in the OGS Centralized Contract and second by terms and conditions added to the Authorized User Statement of Work. Additional terms and conditions shall not conflict with or modify the terms and conditions of the OGS Centralized Contract. NYS Executive Agencies must adhere to all internal processes and approvals including, as required, approval from NYS Office of Information Technology Services. Other Authorized Users must adhere to their own internal processes and approvals. In accordance with Appendix B, section 28, Modification of Contract Terms, an Authorized User may add additional required terms and conditions to this Mini-Bid and resultant Authorized User Agreement only if such terms and conditions (1) are more favorable to the Authorized User and (2) do not conflict with or supersede the OGS Centralized Contract terms and conditions. Examples of additional terms and conditions include: • Expedited delivery timeframe; • Additional incentives, such as discount for expedited payment/Procurement Card use; and • Any additional requirements imposed by the funding source or Federal law.
