Common use of Gross Settlement Amount Clause in Contracts

Gross Settlement Amount. Except as otherwise provided by Paragraph 9 below, Defendant promises to pay $560,000 and no more as the Gross Settlement Amount. This amount is all-inclusive of all payments contemplated in this resolution, excluding any employer-side payroll taxes on the portion of the Individual Class Payments allocated to wages which shall be separately paid by Defendant to the Administrator. Defendant has no obligation to pay the Gross Settlement Amount (or any payroll taxes) prior to the deadline stated in Paragraph 4.3 of this Agreement. The Administrator will disburse the entire Gross Settlement Amount without asking or requiring Participating Class Members or Aggrieved Employees to submit any claim as a condition of payment. None of the Gross Settlement Amount will revert to Defendant.

The Gross Settlement Amount shall be separately paid by Defendant used to satisfy all of Defendant’s liabilities arising from the Administratorsettlement of the Action. Defendant has no obligation to pay the Gross Settlement Amount (or any payroll taxes) prior to the deadline stated in Paragraph 4.3 Section 4 of this Agreement. The Administrator will disburse the entire Gross Settlement Amount without asking or requiring Participating Class Members or Aggrieved Employees to submit any claim as a condition of payment. None of the Gross Settlement Amount will revert to Defendant.

This amount is all-inclusive , and to separately pay to Administrator any and the Employer’s Share of all payments contemplated in this resolution, excluding any employer-side payroll taxes Payroll Taxes owed on the portion Wage Portions of the Individual Class Payments allocated to wages which shall be separately paid by Defendant to the AdministratorPayments. Defendant has no obligation to pay the Gross Settlement Amount (or any payroll taxes) taxes prior to the deadline stated in Paragraph 4.3 5.1 of this Agreement. The Administrator will disburse the entire Gross Settlement Amount without asking or requiring Participating Class Members or Aggrieved Employees to submit any claim as a condition of payment. None of the Gross Settlement Amount will revert to Defendant.
