Common use of Governmental or Regulatory Approvals Clause in Contracts

Governmental or Regulatory Approvals. All Governmental or Regulatory Approvals set forth on Section 9.05 of the Seller Disclosure Schedule shall have been obtained, made or given, shall be in full force and effect or shall have occurred, in each case the terms and conditions of which shall not, individually or in the aggregate, impose terms, conditions, liabilities, obligations, commitments or Sanctions upon Sellers, taken as a whole, that would have, or be reasonably likely to have a material and adverse effect on the condition (financial or otherwise), assets, liabilities, businesses or result of operations of Sellers, taken as a whole, and each such Governmental or Regulatory Approval shall be a Final Order.
