Common use of Governmental Investigations Clause in Contracts

Governmental Investigations. Promptly, and in any event within five Business Days after receipt thereof, (i) in the case of receipt by the Borrower or any of its Subsidiaries, the Borrower shall, and shall cause its Subsidiaries to, deliver copies of each notice or other correspondence received from the SEC (or comparable agency in any applicable non-U.S. jurisdiction) concerning any investigation or possible investigation or other inquiry by such agency regarding financial or other operational results of or with respect to the Borrower and its Subsidiaries and (ii) in the case of receipt by a Loan Party other than the Borrower or any of their respective Subsidiaries, such Loan Party shall, and shall cause its Subsidiaries to, deliver copies of each notice or other correspondence received from the SEC (or comparable agency in any applicable non-U.S. jurisdiction) concerning any investigation or possible investigation or other inquiry by such agency regarding financial or other operational results of or with respect to any Loan Party other than the Borrower and its Subsidiaries.
