Governmental Investigations. Except as set forth in the Disclosure Schedules, there are no actions, suits or arbitrations, legal or administrative proceedings or investigations pending against Existing Operator or the Facility, and to the Existing Operator’s knowledge, no actions, suits or arbitrations, legal or administrative proceedings or investigations are contemplated or threatened against Existing Operator in connection with the Facility, nor is any basis known by Existing Operator to exist for any such action or for any governmental investigations relating to the Facility including, without limitation, any denials of payments or civil monetary payments.
Governmental Investigations. Promptly, and in any event within five Business Days after receipt thereof by any Loan Party or any of its Subsidiaries, each Loan Party shall, and shall cause its Subsidiaries to, deliver copies of each notice or other correspondence received from the SEC (or comparable agency in any applicable non-U.S. jurisdiction) concerning any investigation or possible investigation or other inquiry by such agency regarding financial or other operational results of or with respect to any Loan Party and its Subsidiaries.
Governmental Investigations. Promptly, and in any event within five Business Days after receipt thereof, (i) in the case of receipt by the Borrower or any of its Subsidiaries, the Borrower shall, and shall cause its Subsidiaries to, deliver copies of each notice or other correspondence received from the SEC (or comparable agency in any applicable non-U.S. jurisdiction) concerning any investigation or possible investigation or other inquiry by such agency regarding financial or other operational results of or with respect to the Borrower and its Subsidiaries and (ii) in the case of receipt by a Loan Party other than the Borrower or any of their respective Subsidiaries, such Loan Party shall, and shall cause its Subsidiaries to, deliver copies of each notice or other correspondence received from the SEC (or comparable agency in any applicable non-U.S. jurisdiction) concerning any investigation or possible investigation or other inquiry by such agency regarding financial or other operational results of or with respect to any Loan Party other than the Borrower and its Subsidiaries.
Governmental Investigations. Notwithstanding the general release set forth in this Paragraph 3, nothing in this Agreement shall be construed to prohibit Executive from filing a charge or cooperating with any investigation by any government agency (including without limitation the United States Department of Labor, the Equal Employment Opportunity Commission or the National Labor Relations Board) but this release does waive his right to file an individual or class action lawsuit against the Company or receive any equitable or monetary relief in connection with any such charge or investigation.
Governmental Investigations. (a) Each Party shall promptly notify the other Party upon the receipt of a Governmental Investigation or government request for information or government finding of a safety defect or noncompliance with any Safety Standards or governmental emissions control or regulation or other Applicable Law relating to the Base Vehicles sold to Buyer or the Final Vehicles. If Seller receives an inquiry from Governmental Authorities about the Final Vehicles, it will refer that inquiry to Buyer for a response unless the inquiry is solely with respect to a Base Vehicle not sold to Buyer in which case Buyer will have no liability or responsibility to the Governmental Authorities. Seller reserves the right to participate in any Governmental Investigation or government request for information or government finding of a safety defect or noncompliance with any Safety Standards or governmental emissions control or regulation or other Applicable Law relating to the Base Vehicles.
Governmental Investigations. Promptly, and in any event within five Business Days after receipt thereof by the Borrower or any of its Subsidiaries, copies of each notice or other correspondence received from the SEC (or comparable agency in any applicable non-U.S. jurisdiction) concerning any investigation or possible investigation or other inquiry by such agency regarding financial or other operational results of or with respect to the Borrower and its Subsidiaries.
Governmental Investigations. Except as required pursuant to HSR, no investigation or review by any governmental entity with respect to TAVA or any of the transactions contemplated by this Agreement is pending or, to TAVA's knowledge, threatened, nor has any governmental entity indicated to TAVA an intention to conduct the same.
Governmental Investigations. Each Party will provide prompt written notice to the other Party upon becoming aware of, and will reasonably cooperate with the other Party in connection with, any governmental investigation or other action by a governmental or certification entity related to the Medical Services. This cooperation will include, without limitation, allowing a Party access to all requested records, documents and data in the other Party’s possession or control.
Governmental Investigations. To the knowledge of SDC ---------------------------- Prague, no Governmental Entity has advised TATRA, the Company or SDC Prague of any intention to conduct any audit, investigation or other review with respect to TATRA, the Company or SDC Prague that would have a Material Adverse Effect on the Company, SDC Prague, TATRA, its Business or the legal acts contemplated hereby.
Governmental Investigations. Promptly after submission to any Governmental Authority all documents and information furnished to such Governmental Authority in connection with any investigation of the Company or any other Company Party which, if adversely determined, could result in a Material Adverse Effect; PROVIDED, HOWEVER, that the Company and the other Company Parties shall not be required to disclose any documents and information that counsel has advised the Company should not be disclosed under any applicable law.
