Governmental Filing or Grant Fees. Any filing or grant fees imposed by any governmental authority, the consent of which is required for the transactions contemplated hereby, including all filing fees incurred pursuant to Article 4 (other than with respect to the HSRA, which fees will be paid by the Buyers) shall be borne equally by the Buyers and the Sellers.
