Governmental Contracts. Company has no Contract with any Governmental Entity in connection with or affecting the Business.
Governmental Contracts. (a) None of the Credit Parties has knowledge of (i) an existing Organizational Conflict of Interest, as defined by the Federal Acquisition Regulation (“FAR”) 2.101, that has not been resolved through an appropriate mitigation plan or (ii) circumstances that could be reasonably likely to negatively affect in any material respects the Credit Parties’ ability to be awarded government contracts similar to those which any of the Credit Parties is currently performing.
Governmental Contracts. The Borrower and its Subsidiaries are not subject to the renegotiation of any government contract in any material amount.
Governmental Contracts. 6.05 Corporate and Trade Names
Governmental Contracts. Except as set forth in Schedule 5.23, as of the Closing Date, no Borrower or Subsidiary is a party to any contract or agreement with any Governmental Authority and no Accounts of any Borrower or any Subsidiary are subject to the Assignment of Claims Act or any similar state or local law.
Governmental Contracts. No Credit Party’s accounts are subject to any of the requirements or proceedings applicable to assignments of accounts under the Financial Administration Act (Canada) or any other similar law.
Governmental Contracts. Except as set forth in Schedule 9.21, the LLC is not now a party to any governmental contracts subject to price redetermination or renegotiation or which would require the consent or approval of any Governmental Authority for the consummation of the transactions contemplated by this Agreement, whether or not such consent or approval would be required prior to the Closing Date.
Governmental Contracts. The Company (i) is not a party to, nor is the Company or any of its assets bound or affected by, any Government Contract, and (ii) has not submitted any Government Contract Proposal.
Governmental Contracts. Section 5.16(c) of the Disclosure Schedules contains a true, complete and correct list of each of the Target’s Government Contracts and Government Contract Bids. As to each Government Contract and Government Contract Bid identified in Section 5.16(c) of the Disclosure Schedule, except as otherwise set forth in Section 5.16(c) of the Disclosure Schedule, no Government Contract or Government Contract Bid is based on the Target having or asserting status as a small business, small disadvantaged business, service-disabled veteran-owned small business, woman-owned small business, participant in the SBA’s 8(a) Business Development program, protégé, or other preferential status afforded by statute or regulation.
Governmental Contracts. Except as set forth in Section 2.13.2 of AUSA Disclosure Schedule, AUSA is not a contractor or subcontractor with obligations under any federal, state or local government contract.
