Common use of Governmental Consents and Approvals Clause in Contracts

Governmental Consents and Approvals. The execution, delivery and performance by Purchaser of this Agreement does not and will not require any consent, approval, authorization or other order of, action by, filing with, or notification to any Governmental Authority, except (a) the premerger notification and waiting period requirements of the HSR Act and the requirements of the antitrust laws of any other relevant jurisdiction, or (b) where failure to obtain such consent, approval, authorization or action, or to make such filing or notification, would not prevent or materially delay the consummation by Purchaser of the transactions contemplated by this Agreement.

Governmental Consents and Approvals. The execution, delivery and performance by Purchaser of this Agreement by the Purchaser does not and will not require any consent, approval, authorization or other order of, action by, filing with, or notification to to, any Governmental Authority, except (ai) for the premerger notification and waiting period requirements applicable requirements, if any, of the HSR Act Exchange Act, state securities or "blue sky" laws and the requirements of the antitrust laws of any (ii) for such other relevant jurisdictionconsents, approvals, authorizations, orders, actions, filings or (b) where failure to obtain such consentnotifications, approval, authorization which if not obtained or action, or to make such filing or notification, made would not prevent be reasonably likely to be material to the Purchaser or materially delay the consummation by Purchaser of the transactions contemplated by this Agreement.

The execution, delivery and performance by the Purchaser of this Agreement does and each Employment Agreement to which the Purchaser is a party do not and will not require any consent, approval, authorization or other order of, action by, filing with, or notification to to, any Governmental Authority, except (a) the premerger notification and waiting period requirements of the HSR Act and the requirements of the antitrust laws of any other relevant jurisdiction, or (b) where failure to obtain such consent, approval, authorization or action, or to make such filing or notification, would not prevent or materially delay the consummation by the Purchaser of the transactions contemplated by this AgreementAgreement and the Employment Agreements.
